I have a few questions: 1. From your video about portfolio management risk vs returns on the sideways U shaped graph where we drew the tangent line to the point of best risk/reward, and used bonds to fill the extra capital, do SPACs essentially function as a replacement for that with the added upside of the warrants? (I think you had said T bills were the asset used to make the tangent line in that video) 2. If I was to have a pop in price and lock in my gains with a synthetic short position against the warrants and my shares, if the deal fell through, what would happen? Thank you for your time, Jeff

Patrick, I enjoyed this video, but I got lost in the big picture. I think adding some more graphics to the videos would be much better. You could even use a white board or a digital pen to draw the actors involved, the workflow, etc,just like being in a classroom. It would add great value and make it easier to understand than just talking in front of the camera

Wall St. sold privatization to governments around the world as a better way to do business. As soon as our utilities were handed to them, they began gouging our utility bills and continue to this day. That is what Wall St. means by business. Obviously, ownership is the true way to make money in any economy, no matter what others may say. When my state gov. owned our utilities, they were answerable to us, the electorate. And did they perform. We had plentiful cheap power and gas. Now owned by Wall St. many families can no longer afford these essential services. Not to mention the gas shortages and power blackouts. All this from a country that boasts the worlds biggest gas reserves and other natural asserts. Damned if you do or damned if you don't I guess. Doing business with Wall St. is like having a gun put to your head. Gordon Gecko was right, so start buying any distressed assets available for cents in the dollar. Even just enough for a bit of leverage and it won't be long till your the king of your street ! In business ownership is everything.

Excellent video! I looked into SPACs myself early this year and it quickly became apparent that in the medium to long-term (mostly retail) investors lose on SPACS and take the lions share of the risk after IPO. Money is mostly made by insiders who are virtually guaranteed to win because of the structure of these deals.

That's the best explanation of SPACs I've ever heard. Thank you. There are some occasions where companies don't drop much after the merger, like DMTK for instance or MP. I'm assuming that these companies are considered very valuable by institutions. Certainly hoping so as I'm invested in both :) Anyway, guess I still prefer SPACs over regular IPOs, so that at least retail investors get the chance to buy at a price near the floor.

O2b fifty years younger in a day when my thought process was really valued. People don't realize the difference between a gambler and a risk taker. If I invest tank Rand and the equity moves against me eight or nine percent,I sell it I bought it wrong and they move on.if you're playing craps or will that door whatever and you play downtown Grand and you lose, you get nothing and like it... Thank you very much for the video. Not surprised to see Chamath as face of Spacs. His Tsia stock was weird, as it was superflat for two months and then videos appeared and price suddenly went up to go back to usual. His clover was selling medical insurance but he claimed it as techno company (i guess having website is enough to justify it), which Chamath promoted heavily (after it being flat) prices went up, then all went south. Both stocks were with either Hindenburg research accusing of wrongdoing (cliv) or law firm looking for feduciary duty breach (tsia). Meanwhile, guy applied for two more Spacs. Each time he claims it being market leader in future or 100 billion dollar market, but he sells.

If the founder holds on and has only 10 or 20 percent of the company, they effectively continue to control the board. This is why a purchase of only a few percent of outstanding shares will trigger an SEC filing requirement. A control premium for a corporate board merely requires you own more than any entity competing for board control. Enron also shows us that side deals could lard the company up with participations in spinoffs which siphon away value from the company.

Why not just buy a new spac issue on the secondary market when it IPO's, hold the units, split them once possible, sell the commons and keep the warrants for upside optionality? And then rinse and repeat.

2:10 if a share holder redeem his shares he gets his money back plus some interest? if the deal is not yet settled where the Spac promoter will bring money to pay interest and based on what calculations the interest is calculated?

Patrick, you might have already done a vid on this, but could you talk about reverse mergers again? I have seen a good number of them of late. Is it a better deal then buying in on IPOs?
