So simple. Needed business checking for my freelance stuff and to separate out from my normal job and make taxes easier. Legalzoomed an llc online was super basic. I guess you can do pretty much anything online these days. I never needed to know any of this nerd detail stuff so i guess it’s not important. I did it 6 yrs ago. Passaic County NJ wassup!

at the beginning you say LLC can shield personal assets. Is that so though? Any references to why you think so would be helpful. Also, why form NJ LLC vs say Delaware LLC, or another state.

When you own and run a business as a sole proprietor, the business is legally the same entity as you. So, if the business is sued or defaults on a debt, your personal assets (car, house, savings) can be used to satisfy the lawsuit or debt. When a business owner forms an LLC, the LLC becomes its own legal entity - separate from the business owner. In the event of a lawsuit, the business owners personal assets are given a layer of protection because the business is no longer the same entity as the owner. This protection is called the "corporate veil". The corporate veil has to be maintained, though. You can't just start an LLC and forget about it (although maintaining the corporate veil is relatively easy). That's because it is simpler and less expensive, and you could end up needing to start an LLC in both states anyway. I have a question- I filed for a single owner NJ LLC with Incfile (aka Bizee) and got my articles of incorporation. In order not to pay extra, I received my EIN through the state as well as completed the Form NJ-REG and FinCEN BOI Report (new as of this year, 2024). Am I missing any other critical initial filings?

I have a holding company in Wyoming, how would I connect my NJ LLC to the holding company? Like how do I make the NJ LLC under the holding company?

Generally, when a corporation (assuming the Wyomong holding company is a corporation) acquires an LLC, there must be a record made at both entities to evidence the transaction. An easy way to satisfy that requirement is by drawing up a transfer or purchase agreement, and issuing copies to both parties. The LLC will also amend its operating agreement to show the change of ownership. The corporation should schedule a formal vote approving the acquisition and have the decision recorded in the minutes. Some people that live near a train station that connects to NYC will make better money in NYC so they can afford the higher cost of living but that's not everyone, probably just a fraction of the residents here, and even then you get the commuter tax you have to pay because you live in one state and work in another. It's just another way communist thugs steal your money up here. Most people in NJ working menial service jobs get paid pretty much the same you'd get paid anywhere else, $10, $12, $15 bucks an hour.

You can do it all yourself. You can be your own registered agent. Some people choose to get help with this stuff and we don't blame them. It's really about how much your time is worth and how comfortable you are with filling out legal documents. Everyone is going to be different but $29 isn't much for your time and peace of mind.
