This is an excellent video and probably the best breakdown of a SPAC I have seen yet on KZbin. A lot of videos and articles really don't point out directly how this is simply just a pile of cash with no history going public, and then, later on, acquiring a company to then replace the pile of cash that has already gone public. It's about 100000x easier to IPO a pile of cash with no history than a company with complex books and a long history.

@@this.is.lapc506 You don't need a piece of paper telling you studied economics in order to learn about financial markets... it's still a decent degree, but what matters most is studying on your own and focusing on extracurriculars (finance club, certificates and other activities). Honestly, if you see economics as nothing more than a degree to learn about finance, then it's better to go to any engineering school with good reputation and join their finace related clubs.

I remember back in 2003 or 2004 Google did IPO without a bank and one of my "banker" friend said it is not very successful.... Yeah fast forward to 2021 it really was the right decision, look at how that 7% would have costed them in the long run.

Some feedback: the music for this video is distracting from Cayas voice. It feels like the music takes as much attention as Caya himself. Dear Slidebean, first all thank you for such a detailed explanation on IPO/SPAC, but please don't play that much with audio and stereo pan. I am using my regular apple headphones and sometimes it's difficult to understand what's been said. Background music has some drastic drum instrument panning into L and R channels, with some melodic instruments playing right in the center, the same place where the Caya's voice is. The frequency conflict masks the voice and the natural room reverb on the voice muffles everything even more. Either lowering down the music volume, or compressing/raising up the voice volume, or even mid-side processing of the final audio should help. Thank you and keep up the good work.

i lately invested in a spac - jaws spitfire. it's already public with which company they're going to merge with (velo3d). why? doesn't that not fit into the picture of "you can't know what they're going to do"? (only invested a miniscule amount / part of the overall portfolio so no worries anyways).

However, I do think that the whole cake slicing and eating was too distracting and would've been better if you showed diagrams etc. (or did something. like you did with the Dot-Com bubble video). Thank goodness, WeWork fell through the crack at that timing, otherwise WeWork would have definitely made it public through a SPAC at that time, we would have all been duped. There’s no way companies like WeWork would ever make it through a traditional IPO. Makes you question all those SPAC explosions. Why you should never invest in SPACs.

Good video but Spacs can be great (although all ex-spacs are getting heavily shorted right now). First, Sponsors get more like 3-8% which is about the same as underwriter fees for an IPO plus they usually end up serving on the board for the company going public. Also, you failed to mention that you can redeem around the time of voting and get about 10$ back per share if you don't want to risk it.

Can someone explain what he means by "SPACs have to eventually acquire a company". So does that mean, before SPCE became a listing, it was originally under another ticker symbol like "XXYY" OR does he mean SPCE will eventually have to acquire another company and for now it's essentially a shell?

SPACs are just shell companies, they don't produce any income, they have expenses of a publicly traded company. So they have limited time to purchase a company before the money runs out.

I work in the first mexican firm listed through SPAC. Grupo Acosta Verde, which is a shopping center developer and manager, went public last october 2020 rising 200M USD. So, you're saying SPACs are a complete trash but also you're distinguish between good and bad SPACs. Smh, I don't get your point, bro.

Your misconception about SPAC compare to Traditional IPO is must be revised. Going Public through SPAC is a better way for Investor to analyze their Investment risks, coz in the S-4 process or De-SPAC merger is required an Investor Presentation doc that captures a lot of details of the company's future plan and strategic decision from business model to financial ProForma. This level of transparency is a great way to measure your cost of capital and of course the future return you can expect. If you not confident with their pitch, you can redeem and get the money back. SPAC is an answer for Investors to protect their investment coz as we know if a company going public through Traditional IPO, they will choose to fill in Confidential. There is no way to analyze the company's future plan coz SEC is allowing it to hide the data until the company deciding to continue or discontinue the IPO process - in case there is a bad fact revealed and decreases the valuation they targeting like WeWork.
