Good morning 🌞🌄 Atty. Yun po ba fiscal or calendar year nakalagay sa articles of incorporation or by laws puede po ba I ammend ? Like for Educational Institution ung old school ends March 31 and then change to May31 ung FS po ba dapat I follow kung ano nakalagay s article and by laws?

I would like to ask what is the difference between article of corporation-benefit vs article of corporation-general? Because when I filed I select article of corporation general but I just noticed that somehow it say article of corporation benefit

Atty. Dun po sa articles of incorporation and bylaws sample ng sec naka separate yung List ng incorporators and trustees ano po yung difference ng dalawa?

The incorporators are the original stockholders. They are the ones originally forming the corporation. The directors or trustees are those who are elected to manage the affairs of the corporation.

@@mblclassroom sabi rin sa Section V R.A. No 11232 na "Incorporators are those stockholders or members mentioned in the articles of incorporation as originally forming and composing the corporation and who are signatories thereof." Hindi ba't kasali yung mga directors sa Articles of Incorporation? By the definition stated above, wouldn't they be considered as members as well, therfore incorporators din sila? Nalito ako sa definition na ibinigay sa R.A. No. 11232
