You can add anyone as a director. If you want to apply for funding you usually need a minimum of three directors, you plus two others who are unrelated to you and don't live at the same address. If you're not applying for funding you could set up with you as the only director.

You can do this, but if you do wish to apply for funding you will need two other directors who are unrelated to you both and live at a different address. Also if you're looking to get funding a CIC limited by guarantee will give you access to a lot more grants than CIC limited by shares.

You don't. The directors details go on the IN01 form or get completed as you do the online application.

You said that only one director is needed to sign it. I plan to register a CIC limited by guarantee, and the guides I read say that I need two directors minimum to register it (only one when it is limited by shares). Founding doesn't matter at my stage, so I greatly appreciate it if you can help me with this doubt. Thank you for the video, it is very useful.

Hi, thanks for the comment. You can set it up with one Director. As the model articles of association are written based on there being two directors you would need to add a second director after incorporation. If you want to apply for funding you will usually need a minimum of three directors.

The memorandum will automatically be created if you register online. You don't need to add the names of the Directors or sign the paper version of the Memorandum unless you're posting the documents to Companies House.

My form was rejected they stated "it states on the CIC36 form that if the company were to make a surplus it would be used 'to help fund any charity or similar organisation trying to help creatives'. Surpluses can only be transferred to an asset locked body nominated within the articles of association. Any transfer to an unspecified asset locked body will require Regulator’s consent. Therefore please either nominate the charities/organisations at clause 3.5 of the articles (if they are asset locked bodies) and specify their name in the surplus statement or add the words in consultation with the Regulator’ after the words, 'to help fund any charity or similar organisation trying to help creatives'. The second option means that you must seek consent from the Regulator before donating to a charity." Can you please tell me where i am meant to make a change please? i do not know any similar charity for creatives.

Yes, you need to add "in consultation with the Regulator" to the end of your sentence so it says: To help fund any charity or similar organisation trying to help creatives in consultation with the Regulator.

That sentence needs to go in the articles at 3.5. On the CIC36 form put something like "reinvested back into the CIC to develop new activities."

If you've submitted online the application will be rejected and you'll need to submit it again by starting a new application. If you did a paper version they'll post it back to you telling you what's wrong.

It may be that the articles will be ok if you used the model version. I'd wait and see if they get rejected.

Sounds like you didn't tick "bespoke articles" when doing the company application. That would not then give you the option to upload the CIC articles at the end of the process - which are different to regular limited company articles.

Once you've completed the articles with your company details and are completing the online application process you have to upload the articles as a pdf
