This is very helpful atty! However, for small startups in which the board of directors also constitute as the majority of the shareholders, effectively they can decide how to compensate for themselves right? Of course if this decision is not in favor of the company this effectively will be shooting themselves on the foot, so the law still is effective for such cases. Is this a fair comment?
