Hi Atty. our association has been stagnant for 3 years and haven't been able to submitt any annual requirements. Recently, there was a meeting held on our association and there was a change of officers (president/secretary/treasurer,BOD etc.). With the newly appointed officers we want to comply with our requirements on SEC, first step is to enroll on SEC's new OST, we are required to submitt MC28 and Secretary's certificate to authorize the person who's in charge of filing. Is it okay to put our newly appointed president as the authorize person on the Secretray's certificate even if there's no ammendment for change of officers yet? We're planning to submitt the ammendment once we're enrolled on SEC OST. Also do we need a resolution for change of officers for the last meeting? Really need help po thank you so much!
