Even though he's regarded as a successful business man, that history is complex and has made him controversial. He was a history of breaking contracts! Elon is sueing the lawyers because they went from hourly billing (almost 16M) to success fee rate (90M) before the day of closing the deal. Even a 5 year old can tell that it was a piece of shit move by the law firm which should not be ok at all. And as far as twitter goes, Elon's beef is that they started self sabotaging after agreeing to the fixed rate. Which again, should be super illegal. The law firm was working under the premise that they would have to do whatever legally it took to force Musk to buy. Thank you for highlighting that Elon didn't do his due diligence during the purchase transaction which would then later hold him accountable if he backed out of the deal. Other KZbin channels keep saying, "Elon was forced to buy Twitter," without explaining the further legal context behind his own bad transaction decisions and it's driving me nuts that so many folks believe that any random entity can force a billionaire to buy companies just because Elon makes a random tweet about it when that wasn't true, and that's not what happened.

@@12345fowler Setting aside Elon's public PR intentions to his sycophants regarding why he declared wanting to purchase it to begin with; from what I recollect, he had already signed some portion of the agreement to make the purchase. He then had buyer's remorse and fabricated the bot excuse as an attempt to get out of the deal. However, Twitter provided evidence to the court that they had already given him access to dive into the data prior to initiating the purchase agreement to analyze the bot data as per the terms of the purchase contract. Elon was permitted to audit the analytics of the company's performance and functions prior to signing the agreement to purchase... he just didn't do it. "Sign first, ask questions later" is basically how he approached the whole process. So when he decided to back out, I believe the contract clauses basically went, "Pay the 44 billion and acquire the company, or pay 44 billion to back out." So at that point if you're going to pay $44B regardless if you get the company or not, you might as well walk away with something.

Honestly this reminds me of the hotel my mom works at. The guy who bought it owned a small 12 bedroom place in a small area, then bought a 150 room hotel without doing any due diligence. He walked in after buying it, found out how much it costs to do upkeep, filled his trousers, and started slashing left and right to try and get his money back. That part about consideration is additionally funny, because it means Musk is going to have to publicly claim that he was so entirely cornered by Wachtell that any additional advice after the case was settled would have been worthless, because there was absolutely no possible way he could have gotten out of it at that point. I suspect that Musk never intended to buy Twitter. Instead, he wanted to dump a ton of Tesla stock and turn it into cash, and to do that without tanking the share price he needed a good cover story for why he needed the money. Buying Twitter was that cover story. This was why he didn't conduct a thorough due diligence -- because he wanted a good reason to kill the purchase before it went through but after he made the offer and sold his Tesla stock. And this was why he offered an absurdly high price for Twitter -- because he wanted a quick "yes" from Twitter, and didn't care that the price was absurdly high since he never planned on going through with the purchase. But then Twitter surprised Musk by turning the screws, fighting him with the $1 billion termination penalty, and here we are. Turns out it would have been cheaper for Musk to have paid the $1 billion but he didn't figure things would play out as they did.

His is looked at compared to his net worth, which of course is no where near the money the guy has available. That is mostly tied up in investments and the such and would require him to sell all of that at that time to actually be worth that. Of course it is highly unlikely he would be able to unwind even a small amount of some of those investments for anywhere near that value if at all.
