Without knowing the nature of the business, the best answer is: If a business operates, or is “doing business” in a particular state, it will need to be registered in that state. Usually, the existing LLC can be registered in the new state as a foreign LLC. “Operates” can mean that the business has a physical presence in the state, has employees in the state, has a bank account in the state, or is managed from one state while doing business in another state. This subject can become complicated when dealing with online businesses. We recommend consulting with an attorney who specializes in e-commerce law for questions about state registration for online businesses that do business in multiple states. If a real estate agent is starting an LLC to hold real property, then they can give the LLC any name they want as long as it meets state naming guidelines and is available and distinguishable from other registered business names in the state. It is most likely the case that the real estate brokerage's name is already registered in the state and wouldn't be available if you did want to use it for any reason.

Good question, but LLCs are registered in the state where the LLC plans to do business by filing Articles of Organization with the Secretary of State of that state. In Georgia, the Articles of Organization can be filed on Form CD 030, which requires the name of the LLC, the date when registration will become effective, and the name and signature of the person filing the form. No tax ID is required. Directions for completing the “Business Purpose” section of the Georgia online LLC application: The NAICS code for online retailers: 454110. This code can be found by first choosing NAICS code “Retail Trade (45)”. Then, choose NAICS Sub Code “Electronic Shipping and Mail-Order Houses (454110). Thanks for the question and good luck!
