How they used Rs. 1 Crore Contract to deceive me!

This video is to guide my students about one of my personal cases wherein I stopped one of our clients from drafting contracts in a way that could essentially lead to us being at a disadvantage had we not been aware of how the contracts are to be drafted also how they can be used in the court of law.

Some of you might feel that the Corporate Veil can be lifted here to sue the Big Company by claiming this arrangement to be a Fraud but that won’t be possible. What the big company tried to do cannot be termed as a “fraud”. I being one of the parties to the contract could’ve easily checked the capital of small company as it is out there in the public domain. Also, everyone knows that liability of such companies is limited to their capital. The only thing that the big company tried to do is to use the contracts smartly to their advantage. You can’t claim it to be a fraud to remove the corporate veil. Hence, a knowledgeable person should always be careful while entering into any sort of contracts.

But just wanted to ask, One could still sue the small company and plead that it was created to act as a mere agent of its holding company (Case law: British Transport commission vs Merchandise transport ltd) or to 'defraud a creditor' (Case Law: Horne vs Gilford Motor Co.) and this would give sufficient reason to the court to lift the Corporate veil as in this case the small company loses its separate entity in the favour of its holding company

I studied lifting of corporate veil - formation of subsidiary acting as an agent and consideration may move from one person to another like in this eg consultancy fees can be given by small co however this is actually fraud (sec17) but still Sahil sir helped me in learning these things in a practical way . I also thought that corporate veil can be lifted here just because , Formation of subsidiary to act as agent , here the principal will be held liable for acts of that company , But later I think , subsidiary company formed for Contractual purpose and it's all information available in general public not a inconspicuous thing , until it formed for Tax avoidance..

Aaj nahi to kal ye log kuch lafda kr denge. You will lose ur business but there's no meaning in doing business with people who have no Ethics.

Non signatory to arbitration agreement can be party to arbitration in case the benefit is for the non signatory. Such practical matters come in day in day out in court. Like future group is being held liable in agreement between amazon and future coupon. So in such agreement keep arbitration clause. No fraud etc over thinking on your part.

Absolutely love the way you explain sir...Just one question Sir what was the point of even entering into that Revised Contract because if we go by the numbers in your example you are entitled to Rs 10 L monthly as your Remuneration so if they don't pay you on time or not pay at all, you wont be even in a position to recover Rs 1 Lakh from them let alone Rs 10 L as you said they must have entered into similar contracts with various other entities through that small Co.....Assuming you don't even give them 1 month credit and send invoices weekly or something in that line then also its unlikely that your Payments are actually gonna be covered by that Contract in view of such a small Net Worth of the Paper co and it entering into similar contracts with so many others unless of course you take Advance Payments from them before rendering services, which obviously is not a very common practice in this industry.
