The difference is...UTAU is free, and can be downloaded as a program on your computer, so that you're able to make your own character(s) using your own voice. If you don't want to do that, you can download premade characters, too. VOCALOID is bought as a software installation disc, and the characters are already predesigned. Hope that helps. 😊
