Where's 49% coming from? Endeavor is forming a new public company, and he'll have a chief executive role. But they're not doing all that just so he can give Wall Street the finger. Endeavor will have the majority share not Vince McMahon. He just gets to be their Dana.

The landscape of WWE has changed forever. This is beyond an end of an era, this is pretty much the end of the McMahons having solo control of the WWE. The implications can be massive. That being said, I had high hopes for this merger and its future, but after RAW tonight I'm starting to dread Vince getting everything he wanted and more. Including booking power back. Even with the reports, HHH will remain in Creative control.

It is definitely...even saying "the end of an era" is a huge understatement. It is the end of several eras. WWE was, for all its issues, the last and greatest vestige of the original wrestling business. A family owned territory that expanded hugely. There is of course the severe fear of this being Turner buying WCW all over again, especially with the position of "president of WWE" given to Nick Khan, a non-wrestling person. I really hope that isn't the case, and that we won't have a Jim Herd in our future. Eitherway, I am honestly really sad right now. This is the first time ever that a non-wrestling person will be in complete control of the biggest wrestling company by far. Really really hope that I am simply pessimistic and that we aren't seeing the beginning of the long end here.

Lets hope its a Sid Sid Meier situation where a McMahon can sell it at one price, wait for the wold to realize that PG7-13 wrestling has been a decade and two quarters long disaster and a McMahon can buy it back for a much much lower (more realistic) price in a few years. Finally arriving at PG after edging towards it for four years caused another permanent yet to be reversed hemorrhage. Child class wrestling with heavy weight champions that are noticeably smaller than Xpac, dont draw money, honies. Stories and wrestlers that only look larger than life to preadolescent children, undeveloped teenagers and hormonally deficient manlets are a proven failure and on a good day, draw twenty percent of the viewers that real wrestling did.

Of all the candidates that were in play to buy the WWE, I'm very happy it ended up being Endeavor. They've done really well with the UFC, and Ari Emmanuel has shown to be someone who doesn't get involved in aspects of the business that he doesn't understand. Hopefully this works out well.

@@chuckshingledecker2216 that really depends on if Vince is in charge of creative. I'm afraid he might be after some of the reports out there plus the shitty Raw we had last night. What makes it good is that Endeavor is hands off on day to day operations. This means that the WWE are free to run as they please. So long as Vince let's Triple H run things creatively, it'll be fine.

Eric Bischoff called it. Jim and some of the mark media kept saying Saudi Arabia. My favorite was Brian saying Vince was trying to take it private. The new valuation of the company will be worth over 20 billion. They're just merging the two for Stock market purposes. They're probably paying in stocks. Nobody has the money in "liquid cash" aka cash on hand in those amounts. However you don't need to take out a loan.

Despite what Jim thinks, just because Punk was a hobbyist BJJ'er and only went to train full time when he was under contract with the UFC, doesn't mean he would've been a capable fighter. Sparring footage during training camps along with what we've seen in his actual MMA fights shows he's really not built for that, he was clearly unathletic as fuck and had no business competing in the UFC even at the undercard level.

I’m starting to understand Steph leaving. My guess is Steph was in the process of finding backers for her to buy the wwe. Then Vince returned and decided to sell the company to a outside company. When Vince decided to sell it to endeavor, Steph realized that not only is her buying the company out of the question, she also realized that she wouldn’t have a place in the new company. So she resigned before she was let go. She was basically forced out. HHH is still there, but for how long? He may stick around until he sees how things are run and if he doesn’t like it, bounce. They are also going to get a pretty good payday out of this as well. Unfortunately for them, when Vince dies, all they are going to get is some cash and a few assets. Maybe they were hoping that Vince wouldn’t find a buyer and Vince would die holding that majority stake and upon his death, they would inherit the company and finally be able to run it themselves. But that’s not to be. Perhaps when Steph was made Co-CEO, she saw it as a learning experience. She would learn how to run the company from the top so that she could take it over when Vince sells/gives her the company. But when Vince came back and decided to sell the company to someone else, Steph realized she got her legs cut out from under her and left. Kinda like Shane did years ago. Because up until December, all signs pointed to Steph (and HHH) being groomed to take over. I have a feeling that Sunday dinner at the McMahon’s is not as pleasant as it used to be.

Almost is too slow for most of those heavyweights, he'll just get taken down like the plodding giant that he is and tap out as fast as Ciryl Gane did to Jon Jones did a month ago. That and the guy weighs easily 400+lbs, no way the athletic commissions will approve that fight as he'd have to amputate multiple body parts to make the 265lbs weight limit.

Endeavor didn’t add debt for this acquisition. It’s a pure stock transaction so outside of the initial capitalization from existing cash and bonuses and dividends cash isn’t changing hands. It’s part of why the stock has been wishy washy despite being valued in the transaction at a premium. People expected to see a cash deal for a sale but it’s a stock deal instead. So the acquisition price and the like is a bit a ruse in a sense because just because they say it’s valued at that amount doesn’t mean that’s how the new stock will perform once it begins trading when the deal closes. It may start trading at those values but could easily decline to a much lower valuation if the market doesn’t feel it’s valued at that level. But the up side for the structure is that it gets the acquisition done without adding a bunch of debt to the books and leaves a nice upside for all parties involved that if it performs well your purchase was shares of stock and can theoretically be much higher when you cash out than it may have been for an all cash deal. Pretty smart structure to use for the sale to have the best chance at positive long term performance versus paying cash and increasing your leverage position for the sale. That would hinder your ability to operate and invest for growth since you’d have such immense cost requiring an immediate return whereas with this structure you can give things time to actually grow since there isn’t a debt load to pay for. Part of the value to get WWE here is that they have strong assets and very little debt so the combined entity actually improves the debt situation for endeavor with the transaction. One of the rare large mergers that may actually pay off well because of the structure.

WWE is at it’s best when the action feels real. UFC is at it’s best when the fighters have gimmicks. Hopefully these two companies can enhance each other and we get less phony wrestling and meaningless fights.

The WWE shareholders get 49% and Vince owns 37% of WWE so he's 18% shareholder of the new company. He's still majority shareholder in the entire organization and the executive chairman. The CEO works for the chairman so Ari works for Vince. He's STILL the boss. Good deal for Vince!

Vince is the majority shareholder and chairman of the entire company. Nick Khan will run WWE. Sorry that you didn't go to business school but the CEO answers to the Chairman. Pay attention!

Endeavor shareholders get 51% of a new company but there is no one endeavor shareholder with more than 7% of their holding company. They're just shareholders with minority ownership just like everyone that isn't Vince. They don't have what the law calls "ownership" as they're just shareholders.
