Sir why haven't you covered Inspection Inquiry and Investigation chapter ? I totally love your Revisions and your Summary Notes. I had a doubt wrt SFIO and Special Court taking Cognizance of offense u/s 447 as per 212(6) and wrt to Cognizance of offence u/s 439. Where in 212(6) Offense u/s 447 are Cognizable and it is said that Sp Court shall not take Cognizance of "any offence" except upon Written Complain by Director of SFIO or Any Authorised Person of CG. While in Section 439 It says Special Court shall take cognizance of "any offence" committed by any company or its Officers only on written complain by ROC, A Share Holder, Company or Member or Person authorised by CG. Basically my issue is wrt to interpretation Please Correct if my interpretation is Wrong 🙏🏼 I think in Section 439 it talks about cognizance of any offence, it excludes 212(6) wrt SFIO. As SFIO has Specific provision as to whose complain shall be taken in to cognizance by Sp Court. Also, Is it that only SFIO can deal with 447 issues ? If so, can a shareholders Complain wrt Fraud be taken into Cognizance by Sp Court or Compulsorily SFIO or Authorised Officer of CG has to do it ??

Adjudicating Officer only...bcoz section reads as "if after considering reply.... adjudicating officer is of the opinion that....."
