Hello sir. I have a big confusion. I hsve prepared 1 st module. I mean rvsn baki hai 2 sbjcts ka. Aur 2 nd module mene nai padha hai. I m thinking to opt out 2 nd module. Bt my frnd told me to gve both modules bcz usse chances incrs ho jatey hai exmnr k side se ki stdnt ne 8 sbjct diye hai. I dnt thnk so..bcz 1 day gap mein bhi bahot rvsn ho jayega mera...please guide me.. 🙏

Can an independent director be re- appointed as an executive director??

As Per Section 149 (6) Defn of ID states that an ID should not have held the position of a key managerial personnel or is or has been employee of the company or its holding, subsidiary or associate company in any of the 3 FY immediately preceding the financial year in which he is proposed to be appointed. Also defn states that “Independent Director” means a director, other than a managing director or a whole-time director or a nominee director. Here the Restriction is on appointing the person as ID. Thus a Executive Director cannot be appointed as ID. However , Here the Person is being appointed as Executive Director so if he is not falling under Disqulaification under Section 164 he can be appointed as Executive Director but shall not be treated as Independent Director thereon .
