Declaration of dividend is an ordinary business, so why do we need an resolution (which comes under the special business category) or both of them are different? (i.e: Special business and Resolution?)

Special Business and Special resolution or Ordinary Business and Ordinary resolution have not relation with each other...........When it is a ordinary business No Expln statement is needed and when it is a speccial business it is needed. Thats it . To know whether a Ordinary resln or Spl resolution is needed one need to read the companies act. No yard stick to find it directly.
