Hi! You said on your website this "if you’re using Northwest Registered Agent as your LLC’s Registered Agent, you will be filing in Houston County." What does it change when we form the LLC in Alabama and filing in Houston county? We used the services of Northwest and that's what happened. So if there is any license or permit to get, shall we get in Alabama or Houston? Thanks

Hey Davion, generally, yes, however, it depends on the state where the LLC is formed. And both the filing paperwork (Articles of Organization) and Annual Report forms need "strategy" since, for example, if you hire a Commercial Registered Agent, but then you sign the form, your name will be on it. What state is this LLC going to be formed in?

@@llcuniversity I am living currently in Florida though will be having a online real estate investing business that operates in different states ; the thing is I've heard that Florida publishes llc owners info and also I've heard that if I form outside of my primary residence state that I'll have to form there eventually anyway so I'm most importantly am trying to establish anonymity in this situation from the start .

@@Davion_savant - Hi Davion, you could form an LLC in a private state (like Ohio) and make this Ohio LLC the Manager of your Florida LLC. Your Florida LLC would be Manager-managed. Then hire a company to form your Florida LLC and be the Registered Agent. If you use certain Registered Agent services, you can use their address throughout your Florida Articles of Organization. And this filing company would sign as the LLC Organizer. And the Manager on file would be your Ohio LLC. Said another way, your name and address could be completely off the Florida LLC. Note, you'll also want to hire a company to file the Florida LLC Annual Report every year so you don't put your name on that either.

If I register with NW and later decide that I would rather be the registered agent myself for my LLC, can I transfer it from them to me?

Hi Johnny, yes, you certainly can. It's not called a "transfer", but rather just a "change". All you do is file a "Change of Registered Agent" with the state. It's fairly straightforward. Hope that helps!

Hi Kareem, yes, Northwest can form an LLC for you. They can also get an EIN for you, however, they charge $200 for EIN for non-US resident. If you have an LLC in Florida, its Registered Agent must be an address in Florida. Florida LLCs also have a Physical Address and a Mailing Address. Those can be out of state if you need. In which state are you trying to open a bank account?

What addresses do you have on your Florida LLC's Articles of Organization? You can also search your LLC name by clicking the link on this page: llcuniversity.com/florida-llc/search/. If the Registered Agent address is in Florida, that should be sufficient. If your LLC's Physical Address and Mailing Address are in Oregon, we recommend calling the bank and asking about it. Also, the bank will look at your EIN Confirmation Letter (CP575) and they may check that address. Not all banks are the same though, so you'll need to call and check. We won't be able to tell you.
