Its to legally protect themselves, so Michi can't go around making claims later that nulls the contract. Like she was forced, coerced, tricked, etc. E.g. Niji's non-reply to Niji within 14 days counts as agreement clause on their contract is 100% un-enforcible and won't fly in California court. Just because its on a contract doesn't mean its legal. But black companies will do it because they know most people don't know their shady contract is bullshit.

In a legal sense it's actually a good idea to require the other side to go through it with their lawyer, especially in the US. Because a good lawyer can nullify a contract if they can prove that the other side made you sign a contract you don't fully understand. Having a lawyer go over it with the other side they legally cover themselves that the other side fully understand the contract.

It is an important note that any of the previous vshojo members who left did not leave because they disliked the company, they left for their own personal reasons and waited for the contract renewal to do so. Vshojo knows how to support good talent 👌🏻

AFAIK, Nyan and Vaibae both mentioned issues with the contract and Kson mentioned that her contract got better after they left, so Vshojo wasn't always amazing, they fucked up and then improved. Unlike a certain company which just can't stop doubling down on being shit.

I am not that familiar with the case, but wasn't a big part of why Silvervale left (=didn't renew her contract) the lack of (public) support from the company during the time she was harassed on Twitter and IRL due to the Harry Potter game? I know there was also some bad blood between her and Iron mouse (and maybe others) but I think vshojo not taking a public stand against harassment was one of the reasons. Ps! I'm not hating on vshojo, in fact they're the only agency whose talents I follow.

I finally got to the lawyer part and I can totally see why they insisted she had a lawyer. Having an independant lawyer go over the contract protects Vshojo from issues of coercion if the business relationship went south. It gives her peace of mind. Also, given the issues with the Niji and their horrendous contract being made public, it's a good thing because now she can tell the story about the day she saw an entertainment lawyer regarding her contract with Vshojo and it's not bad like her previous employer.

It's really rare in the United States at least for an employee to be in a contract for a defined time period. Most states have "right to work" laws, which means you can quit at any time (and also that you can be fired at any time, which is the real reason the laws exist). The only time this isn't the case is when the employee and the company have signed a contract for a specific term of employment. That's most common in sports in the US, and those orgs DO tend to take care of their employees like this.

@@m1kadzuki Nothing bad. You do know who Hime is right? IRL? So, she doesn't like to stream. And this basically means we get an appearance like once a year on average. Hence, VShojo signing her on always meant that after all this time that VShojo never actually cares whether or not Hime does anything. It is a loss as they've provided her with resources, and they're used once a year. And that is because it is actually better to have Hime and her IRL persona as a loss, than to not have her at all. For example, Hime just did one of the songs for the NIKKE crossover. It is better in the long run for VShojo to maintain a trust as a brand than to have just terminated Hime for inactivity.

Company takes the upfront cost so that the talents can succeed which brings events and sponsors to vshojo which being a steady amount of money. The happier they are the more they strive to pull things for the company. They end up in a positive symbiotic relationship. The only issue is that it doesn't scale infinitely so vshojo will most likely remain a smaller agency with a strong happy line up

She does not stream a lot sure but her merchandise sells and the person behind the vtuber is a quite popular youtuber with contacts in and around Japan. She was in the vshojo maid cafe video as herself and the video being possible was most likely thanks to her and her other companys work behind the scenes.

@@azzazelynn988 Every Holo member has a very responsive manager though. It's really honestly not that hard to have a few managers per generation, and they're doing just fine. Outside of A-chan busting her ass because she wants to everyone has good management and they're always attentive to livestream events so they can rein in some of the crazier talent. Niji just actively refuses to help their people that's all. Making that much money you could easily hire a legal rep and a manager for each talent and keep them on payroll most of the year. One BILLION dollars is an unfathomable amount of money, it's not humanly comprehensible and it's not being used.

Niji is only concerned with "line goes up" without any long-term expectations. Niji only has one manager per several of their talents and they have many more than Holo. Vshojo is a unicorn as a corporation in a sense that they learned from their mistakes immediately when they lost talent in a very public way. The way they are doing things now protects them and the talent without taking anything away. @hoarauthomas1006 Okay, but consider this. The comparison was Vshoujo vs Niji. Vs being in the better end of the spectrum. While Niji being on the horrible side of it. The practice of forcing the other party to get a lawyer for a contract isnt as common because most companies won't attempt to hardcore screw over their talents to such an extent as Niji has. Doesn't mean most wouldn't if they knew that they could. However it's likely most realize writing up an unenforceable contract when you don't have much funds to chain people to it via threats of crippling court cases is self destructive.

@ropewash4432 Exactly it's a sensible move, it will pay off for them in a medium term and they listened to her advice on the cultural differences and went 'Great lets use that!' that is one of the great pay offs of listening to your staff and people and taking in their experiences. Being a good company can be profitable, you don't have to go Black to make money in fact Vshojo will likely be far more stable as a company than others because of the good relationship it fosters with the Talent. I'm reminded of another company in a different field where the owner took a massive Paycut so he could raise the wages of all his staff such that I think the minimum anyone working for him was paid was $50K a year. The staff could suddenly afford to have a family earlier than they hoped they literally as a company jokingly refer to their kids as a collective group as children of the company because it was that financial stability that allowed them to have the children, they also stay at the company for far longer seeking internal promotions over external, because again the company treats them well. During the Pandemic all the staff took a voluntary pay cut because they wanted the company to stay alive it had treated them well in the good times, they where paying it back, and the moment the Pandemic was over and the company recovered they gave the staff a bonus that was basically all the wages they had given up during the Pandemic. By treating the staff decently they got loyal staff who stuck by it in the lean times. You don't have to be mustache stroking evil to get ahead, Vshojo has recognised that a lot of what it does benefits them. Therapy, stressed over worked panicked talent won't be as good as relaxed happy talent. So help them get to that state, they will sell more merch if they are happy and you'll make more money (Merch is where I assume Vshojo makes it's money taking a cut of the Merch and likely sponsorship deals the stuff they help create/negotiate) having the great reputation Vshojo now has is likely a huge benefit in getting those same Sponsorship deals, there is at the moment no downside to a companies image working with Vshojo. Compare that to Nijisanjii who when all the stuff came out over Doki lost a lot of Sponsor deals because companies did not want their image asscoiated with Niji Etc etc. Gunrun gets it, he gets that you can do the right thing and make money from doing the right thing

Even if you mess up and totally fail, that's building the infrastructure and connections... and not only that, when you work in groups you get way better deals and power. Yep. And even the forcing her to consult with lawyer. That's typical for fairly large contracts (and entertainment contracts that could involve millions of dollar changing hands definitely requires it). Because it's mutually protective legally, since it make sure that the talents don't get surprised by a clause, and they have no case to argue that they don't know what they're getting into. Although the "I think you're taking advantage of the company" does imply the contract is pretty generous.

@@ShuberFuber I'd also bet that a lot of the things that she thinks is expensive, it probably isn't for a company. I mean, talent agencies should generally have medical staff, legal staff, merchandising staff already or have something to account for it. i mean, why wouldn't you? Your money is based on the success of a product that is a human or merchandising that human and for that product to be successful, the human needs to be healthy and you need to get the merch that you can make money from to the customers.... So it behooves you to have your humans have access to things and they are preforming to your standard which means you need to provide if it you can for best possible results.... And then things with SEA, if you're planning to have more talents, or researching how feasible it is, you're going to want to set up and observe those connections and see how it does. But even if that wasn't the case... just looking at PR and talent scouting. 6 months ago if you were to be given the same contract from both countries in terms of splits and such you'd pick Niji over Vshojo because in there was an assumption that there are more inherent benefits from working with Niji than Vshojo, but these talents speaking of all these benefits and how easy they are to work with makes working with them to be much more valuable. It's like a contractual modifier.

I always applaud companies that take care of their employees. At the end of the day, we all understand that the main goal of these companies or agencies doing business is to generate revenue... but if they get too greedy, and don't invest some of that revenue back into taking care of their talents and staff, that's when you get the likes of Nijisanji, WACTOR, etc. I'm sure that Vshojo is far from being the "perfect" agency, and in all likelihood they might have their own internal flaws and issues as well... then again, it really puts into perspective how low the bar was for some other agencies if these talents are this surprised and happy with how they're being treated in Vshojo.

There was some mess a while back with Nuxtaku. Some kind of security concern for the talents that went sideways when V-shojo approved Nux could make a video about it, then they weren't okay with it and told the talents, they turned on Nux, it was a sh17 show. Not sure how they all stand, Zen was the only person we know of that apologized about it to Nux. That was probably the worst drama I've seen from V-shojo, which is nowhere near the absolute nuclear meltdown that Niji and Wactor have been doing.

Western corpos abuse their workers as well, they just have better PR. Amazon has no problem using their lawyers to screw over people who get injured on the job and get zero disability compensation as result.

I think the big thing to remember here is that Vshojo's cost for having a talent work is 0. Most companies pay their employees not the other way around, lol This also means ALL income from talents goes back to helping the talents. So resources aren't really an issue as long as Vshojo can pay their own wages

While I see a lot of comments praising VShojo (and deservedly so) for the way they treat talents, let's not forget the reason VShojo can do this as opposed to other agencies is because *_they are a privately owned company._* As much as I would like to believe otherwise, I have a feeling If they were a publicly owned company, they would treat their talents much more like other VTubing agencies (though nowhere near as bad as a certain other agency...)

I think the structure of the company(aka the Talent owning their own IP) makes it kinda hard to operate in any other way. Most Companies that try this model usually don't offer much aside from merch and ad deals because they usually don't have the revenue to do anything else. Vshojo has some big heavy hitters and alot of funding and connections because of Gunrun(founder of Twitch)

Michi, Vshojo pretty much has to cover those expenses, considering what the other members have said and done on-stream. I think any of the staff watching a compilation of the more unhinged content, would realize that making sure the members are in good mental health is a priority.

VShojo pays for therapy for staff too. It's company policy to provide mental health for everyone in the company. They even highlighted it as one of the things they planned to do with the 11M in venture capital they raised.

I mean, they know she was very successful even when she was from a forgotten branch with no promotion at all and she managed to survive in terrible working conditions. She could say whatever, but it was an extremely safe bet, she may be insecure or not know her potential but she has it and Vshojo knew, there was no risk at all.

The clearly significant difference in michi's general demeanor now when compared with when she was with niji is still surprising to me(as a casual viewer). Side note: either not enough people have experienced what it's like in a retirement/nursing home or they are that butthurt (but why though?)by vshojo's success where that's in a majority of comments. I mean, mouse clearly told everyone this was the plan a good while ago with the whole university project/theme/lore stuff.

VSJ deffo learned from past mistakes (their and others) and decided to make a long term investment with the new batch...sure, supporting them ex novo is expensive at the beginning, but Holo, Idol, Phase and others have proven time again how a fulfilled and happy content creator is a veritable goldmine...so apart from the obviously based behavior from a human standpoint, they did recognize that, if those people could break bank in a stifling environment, what could they bring to the table in a nurturing one

To be fair, VShojo already knows what she's capable to do under a lot of pressure and restrictions so i doubt they were worried about whether she would be a success or not, they knew they would have no problem getting back everything back in no time now that she's free to do things her own way. This was not charity, pity or even a gamble, it was an investment they were sure would bring profit.

They only take a cut of merch and deals that they themselves bring to the talent (like the SMASH skins, for example).

It's not like VShoujo does all that out of goodwill, they're hiring highly trained professionals that were at the top of the genre, they KNOW the value of their investment. That's what good employers do, they make good employees WANT to stay at their company.

Numbers,numbers,its all about the numbers 1) vSohjo is Invitation by vouch by at least 1 of the girls then they vote you in for the pitch (which Matara has admited she is the voucher for Michi......and she was pitched to at vSohjo JP along with Mint and "Rosie"...... Elira,Enna,and Millie was supposedly there too in Jan 2024 from their PL tweets between each other) 2) Michi hired vSohjo, not the other way around. The IP and the IP income(ad revenue,Super Chats,Memberships,subscriptions) is 100% hers after KZbin/Twitch cut. Their Merch,Promotion,and Legal Services is funded by Sponser Slush funds,50% of personal Sponsers they land for the talent,and 50% of Merch sales funded by Sponser slush funds (Ironmouse has talked about it the most including everyone having a quarterly budget for new models,new outfits and projects as a benifit/Perk of hiring vSohjo to manage your shit) 3) I'm guessing they wanted her to Lawyer up about the Sponser cut of 50% and Merchandise cut of 50%(which is negociable and why Silvervale,Vei,and Nyanners walked). If Hershey's wanted to Sponser Henya for $5000 a month,as an example, vSohjo as her Management Agency would get $2500 of that a month as their fee. Likewise while making of Merchandise is slush funded by Sponsers,for helping making the merchadise and dealing with lagistics and stuff(like flying to Asia) vSohjo gets 50% of the profits of the Merch as their fee

Her feeling of indebtedness is the normal response and she is going to pay them back 10000x over just by her hard work (and still feel like she owes them more)

Why would an agency not hire you because you use their company benefits? This is like trying to pay back your parents for raising you. You aren't going to be able to do it, you can try, but you are't going to be able to do it. It's simply too much to pay back, just don't worry about it and live your life (or in this case stream) to the fullest to pay them back.

So Michi i know about the past, believe it or not most honest and good companies will invest in their employees, whether its therapy, welfare or legal advice or they will recommend a lawyer for legal advice. Companies like VSHOJO and HoloLive eco this mentality and willingness to spend money for its talents, b/c to them they aren't just a name on the spreadsheet, but also an investment in life. Think of it this way VSHOJO or Hololive is the parent, the talents are the kids, the parents will invest in education, keep them clothed and fed and willing to spend money to ensure the kid is healthy, physically, but most importantly mentally healthy. The fact that VSHOJO choose you shows they see your potential and that you are worth the time and money spent to keep your healthy and happy to stream and play.

Vshojo isn't about keeping yachts afloat, it's about the welfare of the creators that make the company go around. Of course there's positive revenue, but that's invested in the next creators. Of course Gunrun and others are paid well, but they aren't starting their own banks any time soon.

I feel like how Vshojo works they can afford to just absolutely blow hell amounts of investment because 1. They got big hitting vtubers that rake in humongous profits (literally the top Twitch streamer overall not even for specifically vtubers is IN VSHOJO) 2. The talents they collect are all big hitters (or nepotism) They know the capabilities of the talents they're hiring very well
