I'm not quite sure why people are surprised by contracts like this. In the Japanese music industry, all of this stuff is pretty par for the course (although that's what makes everything that much worse and this is all the more reason why I've been pursuing the idea of DIYing my own record label instead)

one correction would be that article 6 isn't about not doing work for third parties, it refers to not HIRING third parties to do some part of the work (subcontracting them). For example if you were to have them join you in your vtuber activities in any way, delegating any part of the work, that would not be allowed unless with permission. Of course, that technically could also apply to collabs with third parties if you consider them as "subcontracted for it", as you said, but it's just not written as "the main purpose" of the article.

Taking money from an employee as a form of penalty for a mistake is literally illegal in most countries. This contract is insane.

It is in China and more horrific, at least in webnovel industry until a few years ago where there was protest by writers against a Tencent branch, the company who holds the complete IP rights of your work decides to make a movie without your consent, does not require your input on any part, loses money on it and you are required to pay for their loss.

@@gitamic2287 Well as Niji first was in China even before JP started I wouldn't wonder if Riku just copy pastad the slave contract his chinese lawyers wrote for him for the first livers to the rest of the world, not realizing, that this contract is illegal in most countries of the world, as we are literally not a communist shithole like West Taiwan.

It gets better. In the contract it's stated that legal proceedings will happen in Tokyo, because Anycolor knows it's shit will get ripped in any non Japanese court. Absolutely buck wild.

@@platinumhawke Maybe that's why Niji is pushing other branches to be absorbed to the main branch (like what happened to ID, and make those talents sign a new contract in-line with the JP branche's terms) Since if this contract got caught wind on the country where those international talent's live. Then Niji would be in huge trouble, and this contract would seriously shredded legally. (I know, because my parent's workplace is is a japan based manufacturing company for car parts that expanded to where I live, but they still follow laws here on my country.) Niji screwed up big time.

This is actually very common in a lot of businesses (big and small), it's a non-verbal contract and is still legally binding. Even if you don't sign, your continued participation within the company is considered compliance. Basically, because you continue to work there (without questioning the contract), you are agreeing to those terms. Edit: just wanted to add I don't agree with this method

"Who would in a right mind would want to sign this contract?" 1.) Vtubers who are desperate to be recognized in the vtuber industry 2.) Contractually illiterate or not fluent in corpo language. 3.) They simply don't read the contract. (too lazy or don't care) 4.) Can't afford a lawyer or have someone read the contract for them. 5.) Limited response time / couldn't get their lawyers to read through the whole thing in time. 6.) Guillable and inexperienced VTubers. 7.) YOLO / F**k it, we ball / What's the worst that could happen??

Something very big to bear in mind -- for a lot of these people, if they were particularly good at 2), or felt comfortable putting out the money for 4), they would likely be a lot less reliant on getting into a company like NijiSanji. Niji is, in essence, specifically targeting people who likely do not have the funds, knowledge, or means to avoid being bullied by them.

I think number one is the most important because being an independent talent is very difficult because some people find a niche that allows them to grow quickly other people don't have a niche like that so they're fighting against the tide and they feel like they're losing, Number one is really the most important because if you're more gaming or talk oriented it probably is going to be very difficult for you.

Bruh, this basically says “We own you but we’re not responsible for you and don’t have any obligation to support you.” One of the biggest reasons to join a company is for the team support. It’s like they think “you have the great honor of joining our prestigious company after being a nobody and we’re paying and supporting you enough with our brand exposure.” Smells like soulless, corporate hubris. Can’t believe Tazumi outright said something along the lines of “it’s a shame our talents leave after we helped them realize their potential” when this confirms they don’t do jack to help.

Niji is the corporate version of “we’ll pay you in exposure”, which yes is more than as an indie, but I still can’t pay rent or lease, insurance, groceries, loan payments, etc. in f’ing exposure. And the fact they can take an entire months earning away if they decide you oopsied? Good god this is bad all over.

By Japanese law livers are "employees" based on how much control the company has making almost half of this contract illegal as it tries to convert an employee into a contractor.

That can be illegal in the states too. If an employer treats you as an employee not a contractor, like trying to control your hours or adding extra responsibilities not in your contract, you can (generally successfully) sue to be counted as an employee, which means they owe you benefits and wages BACK DATED to when you started contracting for them. I have successfully threatened many a client with this exact thing to get them off my back as a contractor. And a non-compete clause DEFINITELY makes you count as an employee, how would that work for contractors exactly as a contractors whole business model is built on working for different people one after the other or simultaneously. There's a lot of this willful misclassification of employees happening around the world right now and it's only going to take one good match of a lawsuit to burn it to the ground.

@@solitarelee6200 I'd been wondering about the status of the liver's employment since people started saying Selen was fired illegally; like, do livers count as employees, or are they independent contractors? It always felt to me like they leaned contractor, just based on the vtuber industry as a whole, but they're beholden to an absolute ton of rules about when and how they can conduct their business/activities, which sounds pretty "employee" to me.

@@stoffni The non-compete is almost the single clause that would actually hold, honestly. The MOST that any court would do with that clause is point out that the company owes a certain amount of money to the talent if they want to enforce said clause.

Non compete are moot the moment the contract is thrown off and deems unenforceable or the Judge deems the terms far too excessive. A HALF YEAR forbidden from taking another contract with another Corpo on the field can be deemed excessivez especially given Vtubing is an ENTERTAINMENT BASED field, you can't force an entertainer to be out of the game for this long without actual legal justification

HOLD THE FUCKING PHONE! Am I correctly understanding that the company can fire you for not doing your obligations like a voice pack or did they genuinely just write down that they can fire you and then still demand you do the obligations like a voice pack? Because if it's the latter option, that's incredibly fucked up and that just sounds incredibly illegal. Just how it's fucked that they won't let you graduate without signing an NDA contract that completely silences you. You don't sign, you get fired. But now it's suggested that you can get fired and still be forced to do the work even though you are no longer employed by them? Remember when the "message from Nijisanji" video dropped during Dokis neopets stream and people joked about it sounding like hostages? Well, this contract makes it sound like you sign up to be a damn slave. Trapped and tortured, only released on their terms. Nijisanji sounds like a terrifying, PTSD inducing place to work for. And the fact that they can literally just not pay you and that being within their right to do so is definitely not helping them beat the slavery vibe. I already had Nijisanji on the blacklist of companies I never want to work with, but this absolutely confirmed that and really makes me start to wonder whether wactor or Nijisanji is the one I should be avoiding most

One thing that is interesting from this: because Nijisanji owns everything (including the character, and any original songs you create, ...), the fact that use copyrighted material from another liver is entirely unproblematic to them. If I'm Selen, and I use assets, the voice, or anything of Pomu that she did as a VTuber, Niji owns that. There's no reason why Nijisanji can't immediately say "yes" or "no", no matter if the talent has graduated or not. Niji owns that content, and therefore, they can decide what do with it. It's really really weird to use "used stuff from other livers" as a reason for termination (e.g. with Sayu), because like -- the harmed party is not another liver. It's Nijisanji. It's so weird.

That's the really bizarre thing about this. I remember seeing a live review of a TV show called Robotica (it's similar to Battlebots/Robot Wars) where a team entered a robot into that competition called Hot Wheels. The host of that show was concerned about the name until the builders revealed that they worked for Mattel at the time. Nobody complained about the name since. What's even more ridiculous is how they were seemingly blindsided by the MV when it's been in the works for well over a year, and the people in question left a few months before the MV was posted. Why did nobody internally think in those months that this was an issue?

Doesn't have to be. The EN contract probably doesn't include that because several US states have outright bans or heavy restrictions on non-competes in contracts. You'll notice that Nina and Mysta graduated in July and August and then MAGICALLY two people who sound JUST LIKE THEM premiered in October, well before 6 months had passed. And both Zaion/Sayu and Selen/Dokibird were back on their old personas within DAYS of getting terminated.

Holy moly, Nijisanji basically straight out say they are not obligated to protect, support, or even pay their talents. I also can't imagine that all provisions are legal. Demanding the right to "information" without specifying what kind of information seems to be too vague to enforce and is certainly illegal in my country, and I don't believe other countries like the US or Japan don't have similar limits.

Oh the US would strike down half this contract, it's just it has to be ajudicated, and Niji clearly sees it as better to chuck the talent out the door than to contest anything. This is why they terminated Sayu and Doki, and why they let K9Kuro and Matara Kan go to VShojo sooner than their 6 months. They want to avoid precedent while preying on the more gullible talent.

One thing to note with black companies in regards to article 10. They may lend you items that were already broken or near breaking and then expect you to reimburse them on the damages for reporting the damaged item or they get it back broken (when it was received broken in the first place). There are meant to be checks and balances for this but there isn't any real oversight so a corrupt middle manager might pull this scam for some passive income. Especially towards talents that already internally have a bad rep or on their way out. So Niji might not do this. But would you honestly be surprised when the staffers public face is already clearly so vindictively toxic to people they graduate/terminate? Article 13 Hololive also does this. They don't bother with crap like play buttons but Kiwawa once complained that her stream revenue goes to Cover corp. Gets converted to yen and gets sent to Kiwawa's account whereupon she loses a large amount of her money through the bad conversion rate of Yen to Euro. Because the almighty yen is freaking worthless and growing increasingly worthless. So to clarify. Nijisanji isn't unique in that regard. That said. Maybe cover corp should invest in an international branch so they can have money be in USD.

I think Hololive will do it soon because of how f'd is the yen rn, and they also will benefit from having the money in dollars. But honestly i think in Hololive's case it is more of a blunder rather than a full blown robbing.

I would wager in Sayu and Doki's case it is because they talked to lawyers early on and found out how unenforceable these are. Had the other two spoken with lawyers, I would imagine they would've been back ASAP as well. Though for those two, it probably worked out having to wait a bit, since they were both helped out with their new lives.

Having lived in Japan (was almost born there, most of my family speaks fluent Japanese) you, if you’re a foreigner, do NOT want to live/work there or work there 😂 People have different theories about why that company has done so terribly when it comes to PR… they fail to simply take into account that it’s a (black) Japanese corporation applying the usual Japanese (black) corporation handbook for dealing with these situations… but that doesn’t work in the West, as they have painfully come to learn.

Not stepping into/managing disagreements between your contractors/employees is an absolutely foolish policy. As management, the reason you want them to be forced to come to you to settle it is so you DON'T have a Selen situation with any and all backlash spilling out into the public. Stock holders should question why this is being done with the talent since just such an issue has caused a loss in stock value.

The contract does not state that noninterference is in fact their policy. A clause in the same section says the liver has to inform the management of any such dispute, so it makes sense they would prefer to be aware of any situation arising and mediate as they deem necessary. The contract just states that they make no promises of actually solving anything or actively mediating, or even lifting a finger if they don't feel like it. Being scammed? Experiencing harassment? A bad argument caused a toxic work environment?Management will try to help you... if they like you. Or "you can always just graduate". But do keep them informed.

TLDR: Nijisanji is not obligated to do anything YOU are obligated to pay for Nijisanji's fees if you were "the cause" according to Nijisanji. You can't work any other jobs of the same entertainment type. You have to give most if not all of your money AND all your earnings that isnt money as a talent to Nijisanji. Done. That's the contract.

You can get terminated according to "Rules of Honor" In exchange for: 200k Yen equipment budget No guarantees of making money No flat salary No flat merch cut No award trophies/play buttons No management guarantee No legal arbitration for internal issues They can take away everything you use for streaming, including those purchased by you but have been downloaded with their proprietary software. These are some parts of the contract that stuck out to me, please tell me if I missed some or misinterpreted some. My friends turned it into a drinking game that we take a shot everytime some BS is in the contract and we were already drunk by article 16.

If I were to tell someone about this whole situation who has no idea what is going on, it would be that Nijisanji is basically Machinima 2.0. Sure, I wasn't paying any attention to it at the time, but a lot of what I've heard and read about Machinima matches up with what Niji is doing, predatory contracts and all. And if they keep going down this path... they could eventually suffer the same fate. I hope they do since Niji has proven time-and-time again that they aren't improving, and I feel like the dam is about to burst (still have no idea what the Nijidoomsday thing is people have been talking about happening in April, but if if the dam were to burst, that'd be my best guess as to when it'll happen)

EVEN IF this contract might no longer apply as it is a template and thus viable for change, I wonder about a few things: 1) Who was the branch director for the EN Branch (with certainty, not supposition due to GURRAT) prior to the Draconid Termination Incident that allowed such a shitshow to happen? 2) Who in their sane mind approved this contract draft in the first place? 3) Is this contract just as restrictive for the JP Branch, or is it more lax with penalties and the like? I was going to ask about the possibility that EN could be managed by Western company rules instead, but I realized they maybe don't have an overseas building and it's all managed from Japan directly.

I'm pretty sure a contract like that would be unenforceable in a lot of countries. For a contract to be valide their needs to be an exchange of good and services. Here it is pretty much saying we don't provide any service but but take your goods. That contract could voided by a lot of courts.

The reason for why somebody would sign contract like that is not that somebody didn't see how bad it was, it might be that they didn't really have any other much better choice. I've seen multiple people claim they've seen contracts from some vtubing companies, and they said they are largely the same. As much as we might praise some companies for being "good" we need to remember that companies are not our friends, and all we know about them is a carefully curated. And I'm only mentioning that last part because I've literally seen people claim that "Corpo X/Y/Z can do no bad, they are the best".

The 1300$ they offer for debut tech is barely anything. That's just over the price of an iPhone. Hell, the laptop I bought for school costed double that. Also, the 6 month exclusivity clause is interesting. It means either Vshojo got permission from Nijisanji to debut Kuro and Matara after just a few months or there's some loophole they used to get around it (such as the 6 months starting whenever they decided to graduate)

Okay, I speak here as a former Legal Manager of Label and Music Agency who drafted contracts for the talent who joined our company. 1. This contract is too vague. You cannot just say "things will be negotiated later" that is a trap. Basically, whatever the company is going to offer you, you cannot exactly refuse, since you are already bounded by that contract. Big Red Flag Edit: while certain things could be negotiated later, things that this contract stated to be "negotiated later" are essential for the talent's work. This either a deliberate malice or the drafter is lazy. 2. This contract is a one-sided advantage for Niji. Something that is commonly found in an employment contract, while this contract, I imagine, is more akin to partnership contract, which should not be a one-sided advantage. Then again, this perhaps a specialized form for vtubing activity. It's still suck, mind you. 3. They barely offer any tangible "management" yet demanded 50% split? For an agency contract, even the exclusive one, it's usually around 10%. Why? Because the company virtually doing nothing. 4. The penalties are too excessive. 5. It depends on the law, but I really doubt that a company could DEMAND personal information from their employee, let alone partners. They may ask you some professional information, tho.

One minor nitpick: the 14 days referred to changes in the contract. They basically reserve the right to change the contract however they want and you have to object within 14 days. If you do not object OR, and this is the even more effed up part, do any activity related to vtubing, which they can force you to do, you also consent to the changes. So yes, in theory they could send you a amendment of the contract and then force you to go live or tweet something before you can read it and thus auto-accept. Management can also conceivably "skin-walk" on the vtuber's account and do everything without the vtuber even knowing.

It makes me wonder, should stream and social media platforms geo block companies that do not abide to local laws? That's a legit question, since I do believe countries have sovereignty over their own culture and laws, however once you are operating in other places, shouldn't it abide to the labor laws where their target audience is especially if their employees are foreigner? I guess that could make harder indeed for certainly companies to stay operating outside their lands, but it is unacceptable to see foreigners being used as cannon fodder especially under multimillionaire companies while also syphoning cash outside the country without any regards to local laws and local businesses.

Note on Article 5: Niji doesn't pay up front, the talent does and has to invoice Niji to get reimbursed. Whilst it's not uncommon for companies to have employees pay fuel costs when driving to another office and reimburse them afterwards, Niji's asking talents to pay for flights and hotels, and only reimbursing them a month later at best.

If I recall the livestream, yes they can reimburse for your travel fees to Japan, problem is for how long you have to wait after you issue for reimbursement, if they even reimburse other side costs like food, and if we're basing it on the stories of payments being weeks late then it's a very long wait. Add to the fact that you are also contractually obligated to travel whenever they say so, means that you have to have funds ready for overseas flight, food & lodging at any time.

Man signing this contract just puts you in the worst combination of what an Indie and corporate VTuber should be. While some are standard talent agency clauses, some are just straight up constricting and illegal on countries that some talents live. (And maybe why NijiJP is absorbing other branches like ID, since these contracts are really bad if leaked on those countries) -So basically, they can fire you anytime if you don't do what they say. -You have to do basically most the work, and they just collect money. -If you did wrong, you basically get a penalty fee or even straight up not pay you. What!? -Even if they get revenue from you, you have a chance of not getting any support from them!? (legal or from business expense) -Even if you're "part of the company" they won't help you with moderation, legal or even investiagtion!? -Silence within set period of time is YES!? (Even law cases doesn't give this short of a deadline nor accept silence as a yes) At this point it's substantially better to become an Indie vtuber, than join NijiKuro. Even if it's scuffed and you have to moderate your chat yourself, it's still far better than this crooked contract.

That's not so much a work contract as it is endentured servitude. And the whole "If you have a disagreement with another talent, you're on your own." section speaks volumes.

I wish you can list what is not necessarily Vtuber standard, but also standards in jobs. Since a large amount of Vtuber fans are not working adults, providing such contexts might be helpful for people to understand Yes this is copium for "I'm not smart enough to understand this"

Severability clauses are standard in most contracts. Mostly, it's to avoid the situation where a judge deems one provision of the contract illegal which would invalidate the entire contract. It generally benefits both parties because completely nullifying a contract due to a single provision usually leads to an even bigger legal clusterfuck.
