I does sound like an unequal agreement. We don't know the full details, so he might have had his reasons for selling his part so (apparently) cheaply. But it's extraordinary that they didn't know the combined figures.

@Neurotic Arts nonsense, he approached these two guys to help him do business in UK and they did for 10 months and most money spent were by the guy who claimed 79%, but they decided to go to Dragons for help, but companies were separate one was in UK while another abroad because in the case of Dragons rejection they agreed to stay separate...and that is what happened...Dragons are stupid, they want fully operational and profitable business for almost no investment of money and time

@Neurotic Arts 20% not 1% and they were talking about UK business which was evaluated 80% and 20% given to the guy who had 0% in UK, the another story is about the inventor's business abroad and those 2 guys had 0% in it...it was a fair deal since 2 guys were never into inventor's pocket abroad, but gave to the inventor 20% of their own business in UK...and that 79% guy said that if inventor agrees after the merging all three will have 1/3 each, so the inventor messed everything up
@Cervando

@@saulsavelis575 I fail to see how the inventor needed them. The sales the other two made were negligible. I really do not understand why the guy had 79℅ of the combined business, let alone how he would accept 33% after a Dragon invested. Whilst he may have had a majority share in the UK sales business, the Inventor must be a total idiot to give away so much of his business to him after he had invented the product, set up manufacturing etc and sold them for several years. Someone or all of them are lying.

Jenny eyed the 3 men, a discerning smile formed on her face. She licked her lips edge to edge, moisturised her mouth and got her voice ready in preparation. She had been waiting for this, ever since she woke up in the morning, it was the only thought inside her head. Her emotions recoiled at the thought of even daring to be interested the mens idea. Her mouth opened wide with a sly smile tapping the edges to which she said “I’m Jenny and for that reason I’m out.” The men had only just entered the room, but were already one dragon down.

I'm not business savy in no means of the word but from my understanding he got that 79% because he's the majority share holder in the other bigger company which has more revenue than the inventors company. So when both companies where gonna be combined they would've had to factor in that the other guy already had a large share of a existing company and the inventor had a invention that could possibly make them both money. The 1% guy I'm assuming is the 79% guys mate or something.

That inventor dodged a bullet with those two "partners". He produced and hustled the most and had the smallest equity in the company. If they had merged, there would have been nothing stopping those two 2 shysters from eventually voting him out of the company, especially if his shares were redeemable. In that scenario, they could have forced him to sell his shares back to the company for less than fair market value. He would have been reduced to merely being able to look at his boxes in people's gardens, rather than substantially sharing in the company's profits. I think the Dragons saw it, too.

It's not a reseller company when all the IP will be transferred to it and the inventor dude gets only 20% of the business and product he created. It essentially becomes the dude on the rights business and he can push the inventor out and own the IP for himself. Extremely shady.

Genuinely curious, how can it currently be 20-1-79% ownership if the merger hasn't happened yet?

Because the guy on the right is a bully boy the pare both look like bouncers. That are only in it to rip the other guy off and do a runner with the money from the inventors existing company, if there only asking for 40k and after you combine one company that turns over 60+k with another with 300+k (including international sales to japan) you don’t need the 40k?

Probably the other two are loan sharks who threatened to kneecap him if he didnt take a smaller cut. The 1 percent guy is just an administrator who said give me 1 percent.

Inventor owns 20% of the other twos company along with 100% of his own company. When the two companies would have merged it would have been a different share split.

The 79% shareholder seems like a very greedy and arrogant individual. Especially at the end 10:38, to tell the inventor he's walking home when he declines the merger is very bad form.

I actually think there was something more nefarious going on here. I think they were going to ask the dragons to invest only in the two blokes business and then merge the companies, diluting the dragons share down. They thought they could scam them out of money.
