I’m from Louisiana and never heard of a PMA until moving to Oklahoma. I pastor a 501 church here, but trying to transfer to a 508… we (the church) also created an unincorporated association back in 1999 for an 8 acre campground we purchased, but as stated, it’s setup as an unincorporated association etc. and the current board of director have basically stolen the campground from us along with more than $75,000 directly from our church account I just learned last week - they did this between 2013-2019. I’ve not found an attorney yet that can help us battle this unincorporated association. One attorney asked - a what? I thought… shouldn’t you know what this is? Needless to say I didn’t retain her. Finally- I found an attorney that I meet with next week - she was the DA here at one time. I was told that we as the members, the church, all we have to do is have a meeting and re-elect new board members. Since our church was its member and main donor… and we were it’s partners/members. This has been the most confusing process… but hopefully next week we can find an attorney that can actually help us instead of asking me what an unincorporated association is.

From what I’ve learned however, there aren’t any protections for the partners of an unincorporated association correct? Meaning, the executive boards assets are at risk… at least this is what I’ve learned while studying this structure. For instance, we’re trying to bring a lawsuit against the executive board of this unincorporated association and 2 of them own their own property and home… so their assets are at risk. If we are truly able to reacquire this organization again, I am considering restructuring it and incorporating it maybe… so that our personal assets, as well as, the church’s (which is incorporated) assets as well arent at risk. Which the church has the protection of the INC but still… I guess the first thing is to get this issue - who’s actually in control - all sorted out first.

Case law doesn't trump the State or federal Constitution. In fact you can use the state Constitution to overturn Supreme Court rulings

I would check out therenegadenation.org Mike sand his team are connected with David, and will be able to guide you in the right direction. We were able to open bank accounts with the PMA, you have to shop around, but someone will do it, as long as you have an EIN number which you can apply for, and it's fairly straight forward process. Of course it's going to be more challenging than just going the traditional route,. Good luck..

Never speak of your work as a business or you group or club as a association. words mean things Refer your work as a equity exchange and your group as a group or club. The reason is definitions, lawful legal legislative or governmental. The word assosiation has a connotation that is best to be not associated with. Just put association definition in google scholar

They are both unincorporated associations, the difference is that a 508c1a unincorporated church is leaning on section 508c1a of the IRS code to justify their tax exempt status and claim their existence under that code, whereas a PMA does not. It's still a great structure, but a PMA is more private.
