@@harlemdakey Definitely! A Founder is typically one of the Board members when an organization first starts. Sometimes a Founder can become paid staff later (but then they generally lose their Board voting power).

@@harlemdakey "Power" is a subjective term (there's plenty of influence staff can have) but essentially you can't vote on hiring yourself or what to pay yourself - so you can't be both paid and have a vote (it's a conflict of interest).

That's why I always suggest that if retaining 100% control over an organization is your goal you should start a for-profit business instead. A nonprofit is not owned by any one person, even the founder - it is a public-serving entity accountable to its community.

Research shows that term limits are common among nonprofit boards. In 2021, BoardSource12 reported that 54% of nonprofit boards of directors have term limits, and provided sound reasons for boards to set such limits. Term limits provide numerous benefits, including: Making it easier to diversify a board, which can bring new ideas and new perspectives to the board and its decision-making process. Enabling a board to avoid stagnation, fatigue, boredom, and loss of commitment that can set in when board members serve for a long duration. Enabling a board to avoid the concentration of power in a subset of board members and the intimidation of new members by this dominant group. Raising awareness of and providing opportunities to change and improve a board’s group dynamics. Providing a respectful and efficient mechanism for passive, ineffective, or troublesome members to leave a board. Enlarging a board’s circle of committed supporters as members leave the board over time. Enabling a board to easily adjust its membership to reflect the changing needs of the organization the board oversees.

Thanks for the video. Just found your channel. Good info. Thumbs up. I am investing a lot of my time helping a local MakerSpace build and grow. I poked and nagged the founders into asking the county for help with a funding issue and shazam! They say they have two million they could toss their way. Awesome!......... but they need documented board members not just a think-tank of friends pretending they are official. New video suggestion: What are the legal implications for board members? If the Nonprofit gets sued, are they on the hook? If the nonprofit goes bankrupt, are they financially responsible to pay the bad debt? I have never served on a board before and am not quite sure what I am getting myself into.

Yeah, good question! Incorporating and getting Board & Officers insurance covers much the protection needed for liability. Board members would have to be pretty negligent otherwise.

How many times do you have to revise revise revise the business plan before you say? "I am wasting too much time with not knowing enough of the help or roadblocks that are out there in the way of our business plan." "Getting professional help may cost, but you have a better chance of obtaining the goals you have in place to evaluate metrics."

Events, weddings, small business commercials for web use, portraits, you name it we have done it. In the past year, we have been focusing on real estate, but that has slowed down to the point that is no longer viable. I have been interested in starting a non-profit for years but did not know how my skills could work in that field without just volunteering my services. Which I have done several times. After watching your video "How Successful Nonprofits Fundraise when Starting and Growing" I realized, maybe I could. At the 20:40 mark, you mentioned Creating compelling digital content. That is something my team can do! With that in mind, my mission would never be complete. I would be in a collaborative support role, working with other non-profits. Documenting their fundraising events, and delivering photos for their marketing and branding. I could also make video ads for them to get exposure and grow. Does this sound like a realistic idea? I would never run out of work because there is always an organization to help. Any advice would be greatly appreciated!

When you started your NPO did you not have a vision? Have you ever concerned a board may impact your vision. I recruited a board who were only join with the understanding. That we would meet only quarterly via zoom for only 30 minuets. I as ED will do all the heavy lifting and will provide reports and supporting documentation. We are currently in year two of our three year Strategic plan and we will start on our next three year Strategic Plan in 2023. I want to keep the board small. This NPO is a Chamber Music ensemble. Hi Noel! Yes, I definitely had a vision. But ... 1) In the USA at least, in order to have 501c3 status, you legally have to have a board - the government only wants to grant an organization charitable status if it is truly run by the community (vs one person); and 2) It's hard to do this alone, and a good board with solid, aligned values can further the organization's mission! I hope this helps. When run well, a board can be a good asset!

Sure, you can combine whatever roles you think are best! I was just providing a framework to start from. It's more about what skills you think you need for the given year. You should always aim to recruit the board members based on what skills are required to achieve your organization's specific goals for that year.

I recommend an interview (there's no one-size-fits-all rule on that) because getting to know someone personally helps! I don't have a video on descriptions yet but that's a good idea! I'll also be offering templates for those (and many other things) in a new online training I'll be launching soon.

Hey there! The founder does not have to be Chairperson specifically (though they can be); the Board votes according to your org bylaws and most bylaws involve a mechanism to vote people into different positions. The hope is for the board to work together in harmony and work through problems together! There's certainly such a thing as "board drama" but put your values and expected rules up front and that will help.

@@mecahodge5342 It depends on what the laws of your state say! Usually at least 3-4 minimum. It can also be beneficial to have a larger board, depending on the mission / size of the organization.

I started my non profit in 2018 was doing everything alone n got drained! I had family and friends without passion on my board. Now Im ready to restart everything but have no clue how to find the correct board members. I have my website godsvision.info, 501c3 and more. I need to raise enough money for our first house (transitional shelter for women and children). I was homeless going shelter to shelter with my kids and now Im an entrepreneur of 3 for profit businesses and the non profit. I want to show women that just bc your in your pit, with God centered it’s not the end! Give my testimony and restore hope

IN 2 days meeting with a lawyer to seek legal advice for Educational program contracts adopting from another nonprofit from the east coast, the U.S. to see if it will qualify under the guidelines of the 501 (c) 3 status. If it does onward to the Mission!

Thanks for your knowledge!!! Do you have a list of things to do when founding a nonprofit??? I am looking into LegalZoom to take care of the legal documents? But I would like to have resources for what other stuff needs to get done. Example board members, bylaws, and other stuff. I’m so confused!!! Lol

i am going to add one thing: if your non-profit is one that happens to actively work with livestreamers as well, you'll want somebody who's well-versed on streaming and understands how to set up certain tools to help streamers donate to your cause.

Currently I am working to set up my own as well, and as an avid streamer myself, I want to work actively with streamers for events, so this advice can be very helpful if you're starting in such a way

This is great information. Thank you for sharing, Amber. I have a question. My best friend and I are starting a nonprofit and we are going to be lightly compensated for the services rendered. Does that mean we should not be Directors of the Board? Or is there a possibility to be non-voting members of the Board of Directors?

Hey there! I cover this in a few other videos but in short - board members cannot vote whether and how much to be paid. Board members are unpaid volunteers, but can vote to hire staff, and vote on the salary of that staff. Staff cannot vote to hire themselves, nor what their salary should be. Your board would have to vote whether to compensate you and how much (and you would not be able to vote for yourself - that is a conflict of interest).

Do you have to pay those individuals? How would you do so if you don’t know big funding will come in? How would you solicit for board members when it’s volunteer until you get funding?

Hey there, good question! Board Members for 501c3 nonprofits are generally unpaid volunteers representing their community, even after the organization receives funding. You recruit volunteers to be Board Members through shared passion for the cause and based on the skills you need for the organization to grow and thrive. Over time, your organization gradually fundraises to grow its budget and fulfill its mission in bigger / deeper ways (If needed). Then you can hire paid staff if your organization needs that; but paid staff are not the same as board members.

I am in the process of founding a nonprofit dance company. We have actually already been operational for 5 years, but unincorporated. I am very nervous about bringing directors on board who have great qualifications, but who I don’t know and trust personally, as I am essentially giving the governance of my baby over to this group. Do you have any advice regarding the vetting of potential board members?

That can feel hard for sure, but what I've realized and experienced is your Board can be your greatest asset! It's all about communicating your passion to new board members, helping them bond with you and the cause, and providing clear instruction on expectations / how to get involved while enabling them to have a personal connection / opportunity to lead, too.

Hi thank you for that video, I do have a question, When starting a non profit can the same Board of Directors be involved in the day to day operations of the organization? Say take up executive roles such as campaigns and media roles etc.

Sure! That's called having a 'working board' - where your board helps support some of the regular activities of the organization - usually when an organization is new / small and does not have paid staff yet.

The organization's bylaws dictate how an organization would be governed and rules surrounding board remember removals and selection. Typically boards would vote on something like that. I will say though that a rule that gives one person removal power would probably be a big red flag to board members, donors, and supporters. A nonprofit is meant to be governed by elected board members who represent the community and can have their voices heard; it might be hard to recruit board members who would be willing to be in such an environment.

Beginning Stages. The meeting with lawyer went well; Education Program fits guidelines for 501 (C) 3 Status. More importantly, I was guided to Community Partners (Los Angeles). They will be able to provide Fiscal Sponsorship. Which coincidently provides your first BOD's. I am preparing a proposal to be selected by their committee. Regarding Fundraisers, we are going to start off with Pledge Letters to check interest and our skills for asking for money. I am going to try to get some PR time, hopefully in time for Kentucky Derby; help in pointing folks to the website to donate. Did you ask what we were about (lol)? We are trying to stop the Equine Fatalities (starting with Santra Anita Race Track), by reeducating the Equine Grooms to be more like Horse Whisperers. By adding Equine psychological behavior observations to go with a scientific understanding of horse motions and movements. Also, be able to record such in a daily journal. Giving Trainers more Certified eyes to watch for potential threats to the Equine Athletes health they are in the care of. Thanks for PR Time.
