Sir as u said a contract in favour of someone can give a rights of beneficiary so when there is provision in MOA of a co . That a certain person is to be appointed as auditor and in actual if auditor is not appointed is the suit against co is maintainable by auditor as a beneficiary as the provision was in favour of him
