Question: For a business that does not perform the publish newspaper requirement within 120 days. Would the penalty be they are unable to file lawsuits in NY using their LLC and are open to cases that will not be able to be protected by the LLC since they are in "Not good standing" with NY? Also, if the business were to get a newspaper requirement ad published and the NY cert of publication approved, would their bad standing with NY go away, and access to file lawsuits in NY be allowed?

Not complying with the publishing requirement in New York means an LLC cannot sue. Moreover, according to section 206(a) of the New York Limited Liability Company law, its ability “to carry on, conduct or transact any business in this state shall be suspended’. However, the suspension is automatically removed as soon as the LLC is published. If an LLC wants to sue, it can publish at that point and then sue. Also, not being a “published LLC” does not remove owners’ limited liability protection. I live in a small county where it will be cheaper to publish, I run my business online and i don’t want my personal address in the news papers. Do I have to include an address in the publishing?

In order to keep your address private, you will need to use an LLC service. Northwest charges $29. You can use their business address on your documents and they will be your registered agent for free for a year (registered agent addresses are also public record).
