Further, large share holders are often given stock and they are restricted from selling certain amounts for extended periods of time. You really would not just allow a party to decide on their own ( also imagine if a divorce or personal bankruptcy occurred to a person given such stocks) when they are going to sell. Obviously you have never worked for a Corp and been given stock options. If you had, you would have know this playa. Do you know the amount of SEC paperwork that has to be filed for a major shareholder to begin selling large amount Of their stock??? These types of stocks ain’t close to being liquid.

Depends on if there was a lock in period to sell the stock to cash out. If there was no lock in period tied to the stock I would take it and cash out 50-75% of it and diversified into other companies by acquisition to keep cash flow growing.

Just some tips on the research you do for the music industry. Please do it properly. You tried to use Cuban as an example M&A transaction that was tied to stocks but missed it. 1st Cuban and His partner didn’t own 100% of the company there were other shareholders and employees with options 2nd the reason why Cuban and his partner remained billionaires was because they bought derivatives instruments on their stock because they anticipated the decline in the yahoo stock price. 3rd by doing that they basically protected the value of their holdings and were able to over time sell the stock and/or borrow against it so they could do other things.

He should have taken the time to learn. Cash payment are taxed differently than stock. Cuban did not lose any money on stock valuation. Rich people use assets for leverage and get revenue at a different tax rate and in the end keeping more money than a larger cash payment.

There’s rules & brenches in the contract. Like you can’t liquidate the stocks for a year. Selling like 600 mill in stocks would make the stock price fall. He prolly got offered 600mill in stocks & 200 mill in cash.

AlSo he knew this was a bad deal short to long term .. Also. He understood never accept the 1st offer. Create a second offer with time.

So first off, you did not mention the vesting period or the time at which Berner could sell his stock. So if his vesting period was 3 years and the company was shaky a lot could happen before he would sell. I will assume it was not a solid company , if it was Facebook for example you would want the stock because in a a year that 800mil could be 1.2 billion!!! Mark Cuban by the way was very lucky, he sold his company at a time when anything with .com after it was being overvalued. That company he ended up selling would go on to become worthless.
