In theory the combined value and performance of two or more companies should be greater than the sum of the separate individual parts - financial synergies can be realised from increased revenues (e.g. cross-selling products), or by cost reduction (e.g. only having 1 marketing department rather than 2, or eliminating duplicate jobs/ roles, or merging R&D budgets). But it doesn’t always work out like that, plenty of examples out there of where management teams haven’t been able to realise the expected synergies and they actually reduce enterprise value when tried to grow (organically or inorganically).

@@Pontema I fully agree! It would be amazing to see a real life example of a full business expansion case. Not a huge corporation, rather a middle size relatable company and specific step by step process of problem definition, hypothesis definition, selection of the key areas, analysis, adjustments, conclusions, execution plan, controlling. It would be tremendously educational.

Thanks for such a great presentation. May I ask when does a CIM kick in during the process? Is it developed and distributed during the 'Trasaction Strategy'?

Hi Shiyi, the CIM (Confidential Information Memorandum) is part of the early sell-side M&A process at investment banks. At the beginning of any sell-side M&A process, the bank will gather info on its client (i.e. the company that has hired the bank to sell it), including its products and services, financials, and operating environment. The bank will turn this info into many documents, including a short teaser or 10-pager and then a more in-depth, 50+ page CIM. The bank will start by sending the teaser/ 10-pager to potential buyers; if someone expresses interest, the bank will usually have the firm sign an NDA, and then the bank will send more detailed information about its client, including the CIM.
