Conclusion: chairman leads the board of directors which represents the interest of the investors or shareholders. The board hires the CEO to run the company so it is at its best performance.

@@BakedPotatoesBootySometimes the President is equivalent to the CEO and is the head of the company’s management. Other times the President is the second in command, after the CEO. This also can vary from company to company.

The chairman is basically the boss of the boards of directors who are elected by the shareholders to represents their interests ( owners) to hire and keep the ceo and others top managers in checks.

On bigger conglomerates The Chairman usually has the majority stocks or shares and have more board seats. They can fire and hire CEO's.

This is where you are wrong. Every company has shareholders (owners) and any company, or business can easily gain investors, you don’t have to be public for that. Now if you’re a corporation, then it is a requirement to have a board of directors even if you’re a privately owned company.

So if two people start a company together, one of them runs the company on a day to day basis and the other oversees the progress on regular basis but not day to day, would this fit the distinction of CEO and chairman?

Well... not exactly. The distinction is somewhat artificial in a small, new company. If the company has investors, and a full board, the chairman generally runs the board, which has certain powers to approve/disapprove stock grants, hire/fire CEOs, etc. I was often both, but sometimes I chose to be chairman and take a step back out of the day to day. Someone who is literally in the office day to day but isn't the CEO is not a chairman by distinction, but could be.

Hi Jay. Thank You for this content. Fantastic, mind broadening. You've answered important things that was scratching back of my head for months, if not years. Thank You. One of questions that is still wondering me is: How it ended up like this, that Jeff Bezos owns 11% of Amazon, Elon Musk 20% of Tesla, Tim Cook around 5% or less of Apple. What is happening to company throughout its growth, that most of the company is being sold. ? Does the owner or builder sell so easily hugh part of the company, or big financing is getting so obligatory at some point? If I started some company that became successful I would like to keep the most part of it... not 5%, 11%, 20%.... Thank You for great content & big inspiration!

Dilution is a normal process that happens as a company gains in value, and chunks of the company are sold to private (like VCs) investors or public (like IPOs) shareholders. The capital from those raises go into building the business. What is important to understand though is that 100% of a tiny value business is still worth nothing, yet 5% of the largest company in the world is worth billions. There are companies that never dilute! They are able to grow organically without selling off chunks, and often makes their founder and employees nice and wealthy. There are also cases where the founder of a giant company gets basically nothing when the company becomes enormous as well, due to all sorts of things that can happen along the way. Correct. I met with Reed many years ago when he was just starting Netflix, and I'll tell. you with 100% certainty, that guy had crystal clear vision and stuck to his guns. Smart fella.

Well, honestly, the Chairman is an honorary title mostly, and has no special powers. You generally include 1 or 2 "common stock" holders on the board, and one is always the CEO. Venture capitalists find it convenient to assign the Chairman role to the CEO at the beginning (someone has to be) and sometimes split it later if you have two common holders there, or if the CEO retires to just the board...etc. As Chairman and CEO, I still was fired from my own company once, so obviously it's not a conflict.

This happens a lot. Sometimes the CEO has to leave for some reason, so the Chairman steps in. A company I was on the board of had that happen, and the Chairman stepped in until a replacement was found.

Is being fired from your company, as a CEO, Chairman or both, even that big a deal? As long as you remain a shareholder, the only thing they can do is grow the company into something you get profit from, and if you disagree with the vision, your name is no longer attached to the leadership anyways and a single headline can easily distance you from whatever decision happens. It's better to step down gracefully anyways for 2 reasons: 1) headlines celebrate your run rather than attach your name to a story of power struggle 2) VC community is small, and they don't invest in ideas; they invest in people. NEVER fight VCs, no one will ever want to do business with you again. If you've got an entrepreneurial spirit, you should be overflowing with good ideas, or you can retire as a lucky son of a bitch who never should've been entrusted with money and power.

I agree with this mostly. However, let's cut through the real problem: If you remain a shareholder, it doesn't mean you control the outcome, or even if you continue to hold value. For example, one founder I know was fired from his own company, and then the new CEO recapitalized the stock in such a way to make the old founder's stock worthless, and the new CEO made millions. This sort of happened to me, but not by intent. I founded a Fortune 500 company called Equinix. However, I left after a while on my own, and the company continued to grow, but I was no longer in control of things like stock options, etc. When not driving the car... the car sometimes goes places without you!

Well I certainly did not command more respect from the shareholders when they didn't know who I was as chairman... but then again, if I fired a CEO, that might be a different story! Yikes.

@@askjayadelson I still think that the CEO should be respected in this position. The CEO should keep good command of the company by minimizing the opportunity for the board to challenge it. A good CEO should have strong leadership skills.
