Thank you very much sir! I encourage you to enroll in law school, especially if you are interested in this field. However, to manage expectations, I must inform you that lectures in law school are very rare. More often than not, classes are conducted using the socratic method where students are assailed with a barrage of questions designed to develop critical thinking on their toes while cultivating stores of memory. Well, that is the goal, at least. The Filipino film "Bar Boys" is a fairly accurate representation of classes. Regardless, I hope you continue to cultivate your desire to learn. All the best to you!

At first I thought this is a discussion for layman. I think the discussion turned out to be a discussion for law students/lawyers. there is no steps on how to apply and register a corporation with the SEC.

Hi, that was the intention at the start, but as it turned out, lessons for my students took priority. This is for college students with law subjects and law students. In any case, there is nothing misleading, because the content really does discuss the rules on Incorporation. HI Atty, when you mentioned that licensed professionals cannot form a corporation to practice their profession, how do lawyers register their law firms? how do pharmacists open their pharmacies as a corp, like Mercury Drug Corp.? Does it mean they are "owned" by non-professionals?

Can't speak for pharmacists per se and mercury drug in particular, but if I had to venture an educated guess, the purpose for which they formed the corporation wasn't for the practice of pharmacy; or possibly, it was incorporated at a time when it wasn't prohibited by law yet. As for law firms, they aren't corporations, but rather general professional Partnerships, and thus, it isn't the rules on Corp but the law on partnership that applies.
