Really good video, thank you! I was wondering, if I opened my own Ltd last year and I didn't have any activity, will I have to file the CS for the company as being dormant? I recon it will have activity this year in a month or two, so I'm not sure about this.

Thanks for the video, very helpful. In the help section of file a confirmation statement, it says if you file one more than once a year it should be free. you only pay once a year. Is that correct?worht noting also From May 1st 24 cost has risen to £34. thanks in advance for your reply.

Many thanks Trevor and delighted you found the video helpful. Yes you're right on both counts. Price has gone up to £34 from 1st May 2024 and you only pay once per year. Relevant GovUK webpage here - www.gov.uk/guidance/confirmation-statement-guidance - which states "You only have to pay the annual fee with your first confirmation statement in the 12 month payment period. You can then file as many confirmation statements as you want in this payment period." Many thanks for flagging these points 👍

Hi, thanks for the reply. Re your confirmation of paying only once. Your video shows you paying for the service (the old rate) even though you were part way through the year. Or did you add that for reference to the video?

Not entirely sure to be honest if the pay only once per year came in also on the 1st May with the fee change. Our CS wasn’t due but we wanted to do the video so we just did it and it asked for the fee so we paid it. So video steps are as we found the process when we did. Hope that makes sense!

Nothing we can really advise on unfortunately as the site is a run by Companies House. Would simply suggest giving their helpline a call when it happens - www.gov.uk/contact-companies-house. Hope you get it sorted out 👍

You must file at least one confirmation statement every 12 months. Your 12 month review period starts on either the date your company incorporated or the date you filed your last confirmation statement. If your company has been 'dissolved' and no longer exists you can't file anything. If a company is 'dormant' by comparison and has never been used or traded etc however you do still have to file a confirmation statement and dormant accounts.

I have a little question regarding Confirmation Statement . Have a client that needs to verify their Amazon account and Amazon keeps asking confirmation statement and it needs to show the number of shares held by each beneficial owner and the number of shares issued for the company. But their confirmation statement has stayed unchanged since 2020 when the company was founded. So the last 3 show no such information at all just the 3 pages basically confirming its been filed. And the issue seams to be that yes shareholder info has stayed the same but Directors and PSC have changed in this time period. And their accountant claims that because Officers and PSC is no longer covered by Confirmation statement it will show none of this information or Shareholder info and will stay unchanged in companies house. I hope this makes sense , but amazon keeps requesting up to date confirmation statement with this information so we are little stuck . If you would have time to reply that would be much appreciated.

Yup, understand the issue here and ironically the new confirmation statement process - although easier to submit - has made it more difficult to quickly track who owns companies now. Our suggestion would be to go back to the incorporation documents to download the original shareholders info and then submit that to Amazon together with an extract of the current statutory registers (i.e. Register of shareholders + PSC register) - you can download a template from our website here (lightworkbusiness.com/basics-of-business/legals/free-limited-company-statutory-registers-template). You could maybe also get a lawyer to certify the statutory registers also for belt and braces? Hope this helps and please let us know how you get on 👍

i registered a company but i didn't really trade on it at all. its been lying dormant. I can't get into the damn thing online and i keep getting letters from companies house talking about prosectuing me if i don't file. stressful. I've asked for authentication code like two weeks ago and nothing has arrived? What should I do?

Sorry to hear you’re having some trouble getting access online to your company. Unfortunately you can only get your authentication code delivered by post so it should be on its way. Very possible it’s caught up in the Christmas post . If you’re very concerned you could call Companies House and explain the situation and that you’re waiting for your code. Another thing you could consider doing if the company will remain dormant is writing to HMRC to tell them this and they will not require you to file a tax return unless they specifically ask you to or you until you start trading again - www.gov.uk/tell-hmrc-your-company-is-dormant-for-corporation-tax. You will still need to file dormant accounts though together with the confirmation statement every year. Hope this helps 👍

My new accountant is charging me more than £100 to file a confirmation statement on my behalf. This would take less than 5 minutes to do so .

This a really tricky one. £100 for a confirmation statement where your accountant is simply confirming the data already online with Companies House is correct undoubtedly feels high but by them doing the CS it may then save some time when it comes to putting your accounts together and help them give you some additional tax advice. Key point also is how much is your own time worth - is it best spent reminding yourself how to do a one off task once or focusing on other things in the business. Your comment raises a lot of great questions for small businesses and think we probably need to address them properly in a video. Thanks again for raising this and first step anyway we would recommend for sure is speaking to your accountant about it and ask why they are charging £100 for what you think is a very simple task? Is there a better pricing model you can agree with them for all the services you’re getting?
