The plaintiff sold his laundromat business to the defendant, but the guy still owes him money, so the plaintiff is suing. The defendant doesn’t understand why he’s in court because he claims he has already paid for everything he owes. Besides, the defendant argues the plaintiff stopped paying rent on the business before selling it.

Generally the plaintiff is correct in that when a company is bought by another entity; the new owner inherits all the assets and liabilities of the company. However, that is true generally. In this case, the very detailed purchase agreement listed all the assets and debts to be transferred. Since the credit card debt is not listed individually that is not considered part of the transfer. The new owner in this case even had a promissory note where he had to take care of all the back rent of the previous owner so there was evidence of detailed transfer. The plaintiff should have listed this debt in the purchase agreement and cannot just add it after the fact.

That Plaintiff wants to walk away scot free from the debts he owed... did he pay ANYTHING while he owned the business??? And the icing on the cake was for him to do his personal laundry for free... he's got some gaul if he goes in to do a load after this!!! What a douche!!!

I wish I could show this case every time somebody SWEARS Judge Milian always rules for Hispanic litigants...The contract was key and the plaintiff didn't have a leg to stand on.

Actually, you can. If the ruling was obviously wrong and against the law, you can absolutely appeal the rulings on this show. Seeing how most of her rulings are based on her feelings, there are lots of past litigants that can appeal her decision. For example, if the law says you are responsible if your dog bites someone, and this "judge" rules that they aren't responsible, the person who got bit can appeal her decision because it blatantly ignored the law. Unfortunately, most people are too lazy and stupid to bother researching that fact and just take the shows word for it that it's final. There are several people that were on this show that could have appealed her rulings and won!

I understand what the plaintiff is saying. He opened the card in the name of the business and took out $25k for his pocket. When he sold the business everything went with it including the business credit card. What’s so hard about that.

I understood that, too, but he did not include the payment of the credit card in the closing contract of the business, and he did not include the payment in the promissory note he agreed to with the new owner. Because of that, the new owner is not responsible for paying it. I understood what he was saying right off. He just dug himself into a really deep financial hole by not reading over the agreements fully before finalizing everything.

This guy really tried to pull a fast one. He thought he could sell his business and sell all the attached DEBTS. No one in their right mind would buy a business for $5k with $27k attached debt. That doesn't make any sense. No wonder he went out of business.

This is the tale of two cities, I mean, the tale of two business people. One of them see's the business as a money pit and is drowning in debt and the other see's it as a great deal in a good location. Funny how the scattered flaky person in debt up to his eyeballs is the one who see's it as a money pit. If the defendant agree'd to the whole credit card debt why is he only suing for the interest on said debt? Seems like a desperate move to get some cash to keep the creditor's at bay.

If I were the plaintiff I would have just kept the business, the defendant himself said that a laundromat would cost around $500,000 so I don't think it's a very far-fetched idea that the deal actually was for the defendant to pay all of the back rent plus the interest on the credit card and an additional 5k, the contract that the judge read specifically said all business expenses, anytime you're doing business with a property that's worth that much I would have hired a lawyer to draw up all the paperwork and deal with the agreements for protection.

The Defendant CANNOT take over someone else's debt. That would be ENTIRELY at the DISCRETION of the CREDITOR, in this case AMEX. It would never happen. AMEX would be happy to just keep everything as it is. Plaintiff was VERY LUCKY to get Dexter Financial to agree to let the Defendant take over the payments on the laundry machine payments... VERY VERY LUCKY, probably because the other guy has better credit.

The defendant paid more than just the $5000, he paid off all the plaintiff's debts and then the plaintiff thinks the defendant will pay off the interest on his $25k debt for life, why doesn't he pay his own interest? He's lucky this guy swooped in at the last minute, otherwise he would be still liable for everything and wouldn't have $5000 in his pocket. He's just ungrateful...

I can guarantee that line of credit was taken out by the plaintiff to stave off eviction and secure a sale for whatever he could for the business that had gone broke. Without that the defendant really only had to let the landlord end the lease and the business would have folded. He would have picked it up pretty much for free. The defendant really only avoided any competition for the location by paying out all the outgoings and handing over 5k goodwill. The plaintiff out manoeuvred himself in the end
