A 25th of January announcement indicates that on the 20th of January courts approved a $41 Million Dollar Debtor-in-Possession Financing agreement with JP Morgan-Chase to continue normal operations while they try to restructure.

That financing basically transfers the debts (potentially with financing interest) to the bank and offers capital to continue operations for an indeterminate period.

Got some good news in the mail from Steamforged today that I thought I’d share! “Hey Ash, I hope you're well. Saw your recent video on Diamond Distribution - really unfortunate development with a lot of companies affected. Fortunately, we were already in the process of shifting distribution from Diamond to Quartermaster Logistics, so Warmachine stock won't be part of the liquidation. We saw some concern in Warmachine spaces following your video, so wanted to let you know in case you're able to issue an updated message.”

This is the discussion I was hoping to see Lords of War get into and they completely bypassed. It's so interesting watching their video on this the other day where it was a complete "we don't deal with them, so meh, it sucks but it doesn't really affect us" vs this discussion that goes into why oh yes, yes it DOES affect them. I've been out of the games industry since 2009 and I'm just a gamer nowadays, but my store used to deal primarily with Alliance. We also had ACD as a secondary source and a few small distributors for historicals and certain hobby supplies etc, but if it wasn't direct from Games Workshop then it was almost certainly supplied through Alliance/Diamond. Just thinking back to my shelves and how much was directly stocked through Alliance is chilling, and I hadn't even thought about the liquidation knock-on effects that will affect these shops and these companies down the road. This news is MASSIVE, and just I don't see anybody talking about it, not even in the spaces that you would think people would be talking about it. I really appreciate this discussion, hopefully enough people see this and realize what is coming down the pipes. Most people have not worked the retail side of the hobby and I don't think you can possibly appreciate just how massive this news truly is.

I've bought several things at a FLGS to support them even though it wasn't the cheapest. We now have to step up that game if we want to still have the stores to visit in the future.

Years ago I published a Battletech / Gaming Fan Magazine - The Tech Factory. This was around the time of MTG Fallen Empires. Alot of the Hobby Distributors either stopped paying and or declared bankruptcy. We stopped doing the magazine because we didnt get paid for the last few issues. Just an example of what you are talking about.

It’s such a gamble for small businesses where there’s THE pipeline to retailers in front of you but you have to gamble on big piles of product you just might not get paid for. Wild.

6:35 "It's not that they or their partners have necessarily done something negative or something that should have led to this outcome..." They literally had one job (to distribute) and they unilaterally shutdown an entire industry without bothering to consult their suppliers and their own customers that were locked in on their monopoly. Obviously the worldwide pandemic mandated a pause to make changes in operations but it should have been discussed with their partners in the industry instead of Geppi just boarding the single life boat in the dead of the night leaving everyone else stranded on the sinking ship with some build back better stickers.

The filing requires all assets be auctioned off by march. If a liquidation house wins one of those auctions then that’s it, liquidation. If some other company buy the asset then they may do what they wish. I just can’t think of any company that would want a distribution warehouse that costs more to run than it is able to take in.

Here in Nova Scotia my local game store ordered the Paizo books I purchased through Diamond. So some Canadian stores will be affected.

Thanks for the video. I work at a comic shop in a major Canadian city, and I do all the comics purchasing at my store. This DCD bankruptcy has been a headache for the last 2 weeks, and probably for the next 6 months. If anyone has any questions I can try to answer them

@richardgreathead5735 they were up until the pandemic. As every company had to make decisions about how they were going to operate during COVID, DCD decided to halt operations for a temporary duration. DC Comics didn't like that decision, as they (and other large publishers) weren't stopping making comics, so they made plans to find alternative distribution. This was a big deal since nobody dared to challenge Diamond's monopoly; most thought it was foolhardy or impossible since Marvel's attempt at self-distribution and near bankruptcy in the late 90s. But DC successfully found new distro through new companies like Lunar Distribution, and that demonstrated that it was actually possible. All it took was DC to challenge the status quo; then Marvel signed up distribution rights with Penguin Random House, Image joined DC at Lunar, Dark Horse and IDW joined Marvel at PRH, and Diamond lost all its' major exclusivity agreements in just a few years.

Diamond had a monopoly until 2020, like all companies they had to decide how to handle the global illness event and they decided to halt operations for a temporary duration. DC comics (and the other big publishers) didn't like that because they weren't going to stop printing comics. So DC found a way to get their comics out despite Diamond halting operations, and they signed on with Lunar Distribution. This was noteworthy, it was thought that attempting distro outside of Diamond was impossible since Marvel's failure to self distribute and their bankruptcy in the late 90s. Once DC demonstrated that it was possible, things quickly changed as Marvel signed up with Penguin Random House, then Image joined DC at Lunar, IDW and Dark Horse joined Marvel at PRH, and Diamond lost all its' major exclusivity agreements.

As someone who does purchase single issue comic books, I am afraid of what Diamonds filing will do to local comic shops. Comic book stores as a brick-and-mortar footprint have already been on thin ice for years. With the growing cost and complexity on getting comics on a shelf, and now Diamond going under, I can't see how existing stores will survive unless they combine their business with an additional and totally separate service/product offering. And forget about new comic book stores opening at all. Maybe we need a digital printer and binder that can be used at home, that prints comic books on demand... Regardless, as someone who's grown up with local comic shops, I'm sad to see them go. But, I said the same thing about Sunrise Record stores...a sign of the times.

Back iin early 1990's, When Diamond got the sole distubutors of comics. It lead to all the small Local Distubutors going Bankrupt. My Boss bought at Auction ,Pallits of GWS Box sets and Pallet binds full of GWS Blisters.

Yep not many companies can take a quarter of zero revenue without financial pain. With Canada getting its GW stock from USA would the government put an import tax on? Would people turn to smuggling space marines into Canada? High tariffs on goods just creates a black market.

So ive never used Diamond at my current store, I have had to deal with them at previous ones and always had a poor opinion of them from their semi monopoly on DC and marvel. Breaks my heart to possible see so many game stores effected by this. And yaknow all the new trade bullshit from my stupid government does not help.

Chapter 11 is not a situation for liquidators immediately. Liquidation is chapter 7 bankruptcy. Now, if Diamond can't successfully reorganize, they might be forced into Chapter 7 liquidation. But at this stage, long discussions of the difficulty of liquidation of stock are not on point. That said, Diamond might well have a sale on their stock to raise quick money. But this would likely end up with stores getting a deal on that product, not on it (necessarily, anyway) ending up in Half-Price Books. BTW, for game stuff, most of Diamond's stores will probably go to Alliance, which is the other significant player in the industry now. (There used to be a dozen or more significant players, but game distribution has been going through consolidation since at least the '90s. FWIW, the standard sale to a distributor is (or at least was when I was in that industry) 50/10/10. This is a 50% discount off retail plus a 10% further discount for payment within 90 days* and _another_ 10% discount for payment within 30 days*. This works out to 59.5% off of retail, since the fast payment discounts are off of the amount owed by the distributor, not off of retail. If a manufacturer sells an item with a retail price of $50, the manufacturer gets $20 from the distributor -- eventually. * Historically, distributors have been slow to pay but have still expected their fast-payment discount. Because they could. this is not a comment about any current distributor, but about a standard industry practice. Also, when distributors get into money problems, they stop paying small companies first, because they have to have WotC and Asmodee to stay in business. Never mind that missing one payment from a distributor can kill a small company while it's an inconvenience for a large company.

I know this could happen to any distribution company but makes me wonder how this could have been avoided. I guess it just boils down to just having more options for who to make deals with and not just piling everything into one company?

The difficult choice for the retailer is if you break up your order between distributors you lose a great discount. Distributors cut deals where if you purchase more you get a better discount. Most hobby shops are running razor thin margins, so the difference between ordering $1000/$1000/$1000 from 3 distributors versus $3000 from one distributor could mean a critical savings that actually keeps the lights on.

@@tempusavatar That makes a lot of sense in the context for where we are now with physical media. What I am hoping for is more choice from where to park our products to get excusivity discounts. If that makes sense. I'm not in the biz and I know that this is not the way things work in a more niche market. . . but I would think more choice and competition in this field of operation would help the retailer margines expand?

@@JPWestmas I think people need to realize that in today's media marketplace, physical is a premium product that provides a user experience that is worth a premium price. Concerts>physical media>Spotify, and I think most people understand that. People could play WH40K on Tabletop Simulator, but those who build actual models are receiving a different experience, and paying for it. Maybe comics should be similar.

If Universal Distribution purchases Alliance Games Distributor, they will be buying all of that stock from Wotc/CGL/AP stock. It's part of the purchase of that distribution arm.

It would be up to the bankruptcy judge to decide. They might allow a sale to include it or they might decide the product is it's own thing that has to be bid on separately.

The savvy game stores will buy up the product from the liquidators and put it on their shelves. I remember the late 00s when Target was undercutting the market on board games and introduced purchase limits because stores would buy boxes to resell. I just don't know if your friendly LGS can pull off that kind of hustle for 6 months. Not to mention skipping an entire product line from your distributor because you're buying your paints through Ollie's is going cause other ripples.

The reason diamond is dead has more to do with how Amazon does business. Its a defacto distributor with warehouse space now. You can do the same with Amazon. You just have to switch the king you're paying tribute to. I'm seeing more and more indie products popping up on Amazon with 3 day prime shipping.

You talk about liquidation of assets. That doesn't happen in chapter 11. What happens in chapter 11 is that debts are eliminated. Typically secured debtors (banks that have loaned money for example) take over the company from the shareholders. Unsecured debtors (for example the companies that sold product to the distributor) end up with nothing or close to nothing for the amount they are owed.

I used to work for Alliance back when it was Chessex. I was an interesting time with the merger/buyout. I am confused by a couple of things. I thought Diamond just distributed Comic and product associated with comics like the Funco Pops and since they owned Alliance that all the boardgame/wargames came from there. Also, will selling Alliance for a rumored $39 Million go towards that $50 Million they owe or does part of the money owed belong to Alliance?

It will go to JP Morgan Chase first to secure the 41 million of working capital they injected to keep the thing floating while it was cut up for parts. I’m sure some of the money may be used for more unsecured creditors but it would likely be Pennie’s on the dollar

I wonder if DND 2024 books going on clearance will help with uptake. From what I've read (anecdotal) it hasn't been selling well so not a lot of people are playing it. More games in players hands means more people playing it?

people tend to value things based on what they paid for them.... it's harsh but it's not a positive for the struggling dnd books at all

To avoid some of the issues some companies like Catalysts games face, can’t they just request that all merch on hand at Diamond be returned to them, so they resell it either themselves or via another distributor? If monies are owed to them, seems like the smarter okay is to take the merch back and other wise you’re still loosing money but also taking a huge hit in the market space.

The big thing to remember is that distributors are buying the product wholesale. There may be lines of credit and unpaid invoices involved, But all that product is legally property of the distributor and not the game company.

CGL or others could bid for an asset but the bidding will most likely be for the entire warehouse not just one companies product. Also it’s a bidding war, they could still loss or pay to much to get their product back. Most companies are to small to play this game of thrones

Given the points you guys bring up, wouldn't it make the most sense for these companoes whose products are sitting in the warehouse waiting to be snapped up by deep discounters to simply buy back their own product for pennies on the dollar? Or do they not have a mechanism to do that?

Ownership moves to who owns the dept. Even with lack of payment. Their recourse is the courts sadly which means the biggest people with most lawyers will get credit relief first

Is there a flip side of this where new pleyer get injected into games they may not have picked up otherwise and the companies that can push though this and make it out the other side have new fans they didn't before? Still horrible for these companies.

If they are 50 some odd million in the hole the manufacturer's have not been paid so are a creditor So they are out what they are currently owed. So it would be a double hit. Manufactured it and weren't paid then have to buy their own product. If so that is where liquidation comes in and creditors get paid back based on. Ranking priority.

It basically transfers the debts to JP Morgan and part of that money will go to continuing operations (paying staff, mortgages, power, rentals, equipment costs) in the short term and some to paying the credit terms on some of their creditors (the companies they owe) and some to actually piling on MORE product so they have the new things to ship. It doesn’t actually fix the debt situation in a practical term it just buys time,

And before that there was Prodos Warzone and before Warzone Universal and before that FFG Warzone. IPs resurface! But getting them into major distribution is a huge challenge every time they iterate

Canada has tariffs on much of the US goods, US government wants to put some tariffs on Canada until it reduses its tariffs some what to make trade more fair. You are moaning about your government trying to make deals to reduce pricing for you.

You understand that the current tariffs in place before the proposed/threatened 25% increases fall under the United States-Mexico-Canada trade agreement which went into place on July 1, 2020. This trade agreement, which as I said is still in effect, was the brain child of the 45th President of the United States. At that time, the 45th President claimed that this trade agreement, which replaced NAFTA, was the best trade agreement and the fairest trade agreement, especially from the point of view of the US and the 45th President. Now, here we are, five years later and now the 47th President of the United States is saying that Canada and Mexico are trading unfairly under the United States-Mexico-Canada trade agreement. As such, he wants to implement these extremely high and thoughtless tariffs to punish the US' closest allies for this unfair treatment. It's a shame that the agreement put into place by 45 wasn't the fairest agreement out there. 45 felt very strong about it and it was one of his crown jewels in his legacy. I would say that the 47 President is being a bit odd in trying to bully their neighbours. Hopefully everyone involved can see reason and put an end to this trade war before too many people are impacted.

​@@yagsipcc287This is the first I've heard of this. The Canadian government just announced new tariffs on American product and a ban on importing American liquor today. I've heard several conflicting reasons for Trump's tariffs and it seems like no one can get their story straight because the actual truth is there simply is no reason at all.

As fat as games go diamond has very little inventory. Alliance game distributors has all the game inventory ND they are being sold to universal.

Ha ok this made me laugh. If you dont want a 25% tariff on some goods then tell your government to reduce its tariffs on the US shocking... this is the whole point. Someone wants something they say ok well we will do this until you do this for better fair trade. Basic economics.

I feel like you guys have made massive assumptions here without having done even the bare amount of research. Diamond actually has multiple companies and the games distribution is part of a subsidiary called Alliance. As you said liquidators like to sell big things not caring about the detail of stock. Well guess what’s a big thing… a subsidiary. We have news from mid January that Universal Distributors are buying Alliance and Diamond UK. Sounds to me like that means there won’t be cheap stock flooding the market as Universal won’t want to undercut its existing market. Obviously this could fall through, but as a liquidator you would do everything you can to sell the subsidiaries before they start offloading stock on bulk. Sounds like what’s more likely to be affected are comics and related merch in the US Market… but also that’s the business they are trying to shore up with the sale.

@ - But Canada doesn't sell cars to the US. We sell car parts. Which you need. So you are hurting yourself by making those car parts more expensive for yourself. You know that tariffs are paid by the buyer, not the seller, right?

@ I actually live in Europe sooo... Also yes I understand and it also means people will buy them less as they cost more this is why politicians freak out they know they will get less sold and in turn gain less money from these sales as people can and will get them from other places. I was using the car thing to explain is all. This is being done to get both countries to sit down and do trade talks to balance things out. Hell Canada could do the same thing back if they want increses their tariffs.

@@yagsipcc287 - Except if US car companies buy Canadian car parts less, they lose because they rely on those parts to build those cars. If the US buys Canadian energy less, 10 states (which primarily rely on Canadian energy) will freeze during winter. If the US buys less Canadian potash (used in fertilizer), it's crops fail and people starve. Canada should just stop trading with the US. Right now, we sell them our oil, they refine it, and sell it back to us. Same with grain. We grow it, they process it and turn it into cereal or whatever, and we buy that. Just do it all on the Canadian side and sell to Europe. Now, with sanctions on Russia, European countries would be all to happy to buy Canadian oil and potash and grains.
