It's been a couple decades since I had anything to do with the contract law but it seems to me that FSU's only real legal arguments are over its contract with the ACC to allow the ACC to negotiate media contracts for it. As I understand the situation (and I could be wrong), FSU itself is not a party to the actual media rights deal, which was between the media and the ACC as an entity, so that contract is _res inter alios acta_ for FSU. IOW, FSU can't complain about the media deal itself because that was a deal done between others. However, FSU CAN complain (whether successfully or not remains to be seen) about the ACC's handling of that deal because FSU is in a contract with the ACC. FSU could argue that this contract created fiduciary duties for the ACC towards its member schools and that the ACC breached these duties by signing a bad deal. The problem for FSU here is that the deal only looks bad now, in hindsight, and I'm sure the ACC asked all the schools if they were cool with this deal before the ACC signed it. How did FSU vote on this? I don't know but, if they voted for it, that pretty much scuppers this argument. If FSU voted against but was out-voted, then FSU maybe has a case. BUT, the same could be said of EVERY ACC school and I don't see any of the rest trying to make the same case, even though they're all in the same boat with FSU. So, FSU's case here seems pretty weak all around. The only other fairly obvious avenue I see open to FSU is more in equity than law by claiming that both contracts here (even though the key one is _res inter alios acta_ ) are, or at least have become, unenforceable due to now being unconscionable. Meaning FSU would suffer irreparable harm from having to abide by their terms. The problem here is that FSU as an institution is not going to cease to exist, it will just no longer be a high-power sports school. But we often forget that the REAL purposes of colleges is to train the future leaders of our national economy, who actually help us maintain our place at the top of the global economic, technological, and military food chain. College sports, however passionate we might get about them, are simply lagniappe entertainment and totally subsidiary (no matter how much income they bring in for the schools) to the actual purpose of the schools. There are plenty of excellent academic schools that suck at sports (except maybe low-budget basketball) because they have their priorities right. If FSU becomes one of those, then so be it. They signed the deal. Thus, I don't think FSU has much of a case here, either. Thus, legally, perhaps the only thing FSU can do is argue that some technicality in the specific language of their contract with the ACC makes it unenforceable or some such. Not having the text of the contracts, I can't say if this is possible. It probably isn't given that high-dollar lawyers from all parties hashed it out. So, at the end of the day, I agree with you that FSU will probably need to sell its soul to whatever entity agrees to cover FSU's exit penalties because I don't see FSU prevailing in court on this. This will present FSU with a choice similar to when Frodo offered Galadriel the One Ring. Retain, even gain, power but be cursed, or diminish and fade away in the sports arena while still being a good SCHOOL.

Once the Texas-OU domino fell a few years ago, so began the process of the power 2 conferences adding teams left and right, for better or worse (worse imo).

Yet from joining the ACC in 1992 through the end of the decade FSU played more ranked opponents (46) and held a better record than the next best team (UF) in the country during that same span. UF played 45 ranked opponents. FSU's was the most winningest team over a decade until Alabama recently overcame the record (they played more games, less ranked teams, and won the difference). So state your SEC narrative however you want but it doesn't take away from the fact that FSU still played a tougher schedule than the SEC and still knocked off their top team year after year during the Bowden Era.

They were never offered. It was discussed...and it's possible that they may have been offered if they would have been willing to accept it, but UF had vowed to block it and it was definitely not a given that they could have joined. The ACC paid better at the time. AND the SEC wasn't very good. It was UF and Tennessee and a whole lot of bad football teams who just rotated on and off probation because they refused to follow the rules. It wasn't until Saban came along...at LSU, then Bama...that the SEC turned into the powerhouse that it is.

As a Bama fan, Clemson and FSU need to get out of the ACC to continue competing for championships. Th SEC, BIG 10, and to a lesser extent the BIG 12 are the future conferences of CFB. Going undefeated and not making the playoffs is sad but the reality of the sport and the right decision. The players did all they could to make it but the administrators need to put them in a competing conference.

If UGA couldn't have done what FSU does to their backups and scout team everyday in practice then they shouldn't have been in the Orange Bowl to begin with. What FSU did, they showed up, collected their paycheck, and got live reps for their backups and scout team. FSU also stuck it to the ESPN ratings because you know that people didn't tune into the game because they knew what was going to happen and several other people tuned out because of what happened. I called it weeks ago that most FSU starters would opt out and the game would be a blowout.

Furthermore, FSU found themselves unable to contain Georgia's third-string players, revealing their true colors as pretenders. FSU's lack of a solid foundation and growth within their program is evident, making them nothing more than a temporary transfer portal team. Given these circumstances, it raises the question of why the Big10 or SEC would consider welcoming them into their ranks.

The thing you left out is, yeah getting half as much as Alabama or Georgia is one thing, but getting half as much as Florida and less than UCF is what really pisses them off. Objectively, FSU is one of the few remaining brands that adds value to a conference, but do they add enough to justify the headaches it will cause. I don't see the SEC adding teams for another 10 years or so, as they digest Texas and Oklahoma. Who knows what's going on with the Big Eleventybillion now that they have the four biggest brands on the West Coast, but it seems like FSU did not pick a good time to try this. If they do get private equity to try to help them bolt, you really have to wonder what those strings will be. Unless they have a solid landing spot, what kind of ROI would that firm be getting? Is FSU a big enough brand on their own? I don't think so. Remember, they are two years removed from being too broke to fire Norvel after back to back losing seasons. That worked out for them, but that's the reality of their situation.

They can get out and resolve many other problems with a BIG-12 ACC creative merger which utilizes these strategies to appropriately direct revenues: Have three levels of 12 teams each (Oregon St and Wash St can join too) which are each divided into an East and West division. This eliminates most concerns about travel. Only five in-division games. The rest of the game slots can be used for traditional rivalries, cross-level match-ups or attractive non-conference games. The money for the latter should be determined by school, not conference. Let's say Fl St. has six non-conference games and they want to schedule Ohio St. and Alabama and teams like that. Those games will be huge matchups that could attract a lot of money and they should get that money, not the conference. If Baylor wants to play N. Mexico State and Purdue,. they get paid on that, which would be much less. That is just one way this set up could eliminate the conference pay gap for those schools that want to go that route. The other is that with three levels they will have three championship games to sell. One per 12 teams not one per 18 teams like the BIG-SEC. Further. you use relegation to keep the "A" level "A" level. Every season, the last place teams in the East and West divisions play the first place teams from the "B" level. The winner of those games goes to the "A" level next season. Same thing happens to B and C level. So even the bad teams would have a bowl-season game that would be more meaningful than most bowls. Lots more product to sell. I think you'd need a reasonable way to determine who starts at what level, but keep the TV money the same for the first three years at all levels until the cream can rise to the top should soften that blow. Also, would have to guarantee even the "C" level money is as good as present ACC deal through 2036. That should not be hard. After three years I can see the "A" Level teams making BIG-SEC type money if they schedule attractive non-conference match up. The A Level would have some really good teams in it, and the lower level teams would have something to shoot for.

Not a contract lawyer nor a fan of any team in Florida, but I think FSU may have a case if the things regarding the media deal in their complaint are true. If the media payments are only guaranteed through 2027 I don't see how you can put a value on anything beyond that unless ESPN extends the media deal past 2027.

If the GA game was the FSU audition for joining the BigTen/SEC, it is not clear to me why FSU is so sure somebody will pick them up and pay them twice what the ACC is paying. Also this line is football-centric and ignores all the other sports which many universities and fans care about. If FSU wants out of their bargained-for and signed contract, as you say they can buy themselves out and go find the money. FSU football is unique and they should do what they have to do and good luck to them. Starting by suing your own conference is not the best karma.

The ACC is done... FSU needs to make the argument that they joined a regional conference. It's in the name... ATLANTIC COAST Conference. The conference was expanded to span the entire US which means frequent road trips out west. I feel this is a valid argument and one they can win.

There is zero chance that FSU pays north of a half billion dollars to leave the ACC, nor would they sell themselves to a private interest to get out of the ACC. That's like selling yourself into bondage. MUCH more likely is a negotiated settlement with the ACC for a much smaller amount. Neither side can really afford to litigate this in court. The ACC will settle, it's just a matter of for how reduced an amount.
