Board members are there to help with pushing the mission of the organization forward and/or contribute financially. They should be at the forefront to bring ideas, and networks that will help to push the organization forward: that is what you call a "working board". Although they are not employees, they have duties that must be fulfilled. They also assist in advising the Executive Director on areas where the organization can grow and develop. You should not put people on your board who : - Do not contribute financially - Do not assist with efforts for fundraising - Do not attend or support your events - Are belligerent, rude and combative to staff and other board members - Are not involved in the advancement and development of the organization - Are not receptive to new & current ideas, methods or technology that can save the organization time - Do not assist in growing a network that will assist with advancing the development of the organization - Have been on the board for 8+ years and complain without offering solutions (dead weight) That is the job and duty of board members.

Chris is right on the need for Board Chairs to challenge the organization. To do that it needs to emerge from behind the Oz curtain.The CEO may present updates to the Board or even followers in a newsletter but a great Board chair is really her/his boss and presents the organization's updates to the soul of the organization, the Users/Members/Constituents.This is best done by a live/zoom annual Board meeting with all stakeholders invited in the audience.The public board meetings should be stored on next to the form 990 on the front page of any serious charity website. These members are ideally up for "election" and review and there is ample reason for them share on a Board blog about what they are most proud of accomplishing. Much of this creates an open atmosphere of access and listening and serious attention to direct feedback. The lack of this Sharing culture is the main reason Millenials and Gen x and Y dont wrap their hands around your organization, leaving your demographic constituents future more precarious. Pay your executive Boards a stipend , attract the best advice.

Chris, it's not just the Board Chair's responsibility but every director on the board has the opportunity and obligation to exercise their independent judgment and wisdom. Unlike management where there is a defined hierarchy and structure, the directors on the board are all equal peers. The job of the board chair is to coordinate their discussion giving priority to process rather than exercising individual authority. It's the will of the group that is in fact the mandate of the board
