I hold Tata Motors - DVR shares and I understand I will get Tata Motors Ordinary shares, Fail to understand while there is no sale transaction per se so how am I subjected to Capital Gains. 3. Logically speaking Capital gain should accrue when I sell the share and recieve a consideration, in this I am recieveing none, according to logic when I sell the newly issued Tata Motors shares then I should be charged to Capital Gains and at that time my cost of acquistion would be cost of acquistion of Tata Motors DVR duly adjusted for conversion. 4. Can you explain this a bit further and the concept of deemed dividend too.

Hello sir Hope this helps Whenever shares of a company are cancelled and the company distributes cash in return to shareholders, it is considered as taxable income. There are two components to this income - One is attributable to accumulated profits and considered deemed dividend and the second is attributable to capital and considered capital gains.on the reduction of its capital, to the extent to which the company possesses accumulated profits, will be consideered deemed dividend." This means that the deemed dividend will be paid out only to the limit of accumulated profits in the book.However, in this case, Tata Motors is issuing its own ordinary shares to the DVR shareholders and hence there's a consideration in kind

Few more details on this DVR swap, On 01 Sept these DVRs shares will be transferred to one trust which is formed by tata motors which will then sell the eligible shares to collect tax payble as part of deemed dividend and will the deposit the remaining shares in Demat, so for example if you hold 4500 shares then as per Swap you are eligible for 3150 ordinary shared (SWAP 07:10) then company will sell the shares to collect the taxes for Deemed dividend which comes around 85 shares so the actual shares you will be receiving is 3065.

Capital gains tax is not there for resident shareholders. They need to pay only tax on deemed dividend as per the notice sent by the company.

Mam Just Need a clarification that on Tax implication is considered Say if i bought 10 DVR for -7480 today then i will get 7 shares of Tata motors say 7480/7 = Rs 1069 but actual Tata motors is trading at Rs 1085 as of today my gain is 1085 -1069= Rs 16 /share Actual Profit is Rs 16 * 7 = Rs 112 (Tax implication may be short or long based on my holding period) My doubt is whether Tax is on my purchase date price of DVR share or on the cut off date price of share on September 1st??

Whether the Shareholder has to pay income tax on both Capital Gains as well as Deemed Dividend. Under which head the Deemed Dividend will be reflected in the ITR for AY 2025-26? For example, I had purchased 1000 shares on 05.12.2017 @100/- per share and 500 shares @110/- on 29.03.2018. Now how much tax will I have to pay as Long Term Capital Gain and as Deemed dividend. And discuss how to read the intimation on Intimation regarding credit of New Ordinary Shares of TATA Motors received. Lastly, at what rate the new ordinary shares will be valued at 1,111.35 or 100/- or 110/- from 01.09.2024 to avoid again paying tax from 05.12.2017.

it's simple. it's the % difference of 10 dvr and 7 tata motors. which is at this moment 749*10 for dvr against 1086.75*7 for tat motors that is 117 or 1.56 percent. so if u still had bought dvr today u would make the difference amount when compared to tata motor share price.

you are not a paid member yet so expect no reply. here is what would happen. you have 5 so as per notice 7 shares for 10 dvr so by this u should get 3.5 shares. so you will get 3 shares in ur account and half of the price share would be paid to u.
