I am getting upgrade offer, but I couldn't understand : What if I didn't spend 20L in calendar year? Will card be downgrade or work with fees?

The card will not be downgraded in that scenario, you will receive additional vouchers valued up to Rs. 35,000 if you spend 20L in a calendar year.
