People often don't realize how important financial advisors are. Data from the last 50 years shows that people who work with CFAs usually earn more than those who don't. I've worked with a Adviser for 7 years, and now I have a $2 million portfolio.

If I could push back just a little bit. I want interest rates to go down but It feels like just saying “the market will just keep going up. It will never go down” lower interest rates would incentivize borrowing which will drive the asset prices and valuations even higher. In pest control alone valuations have been slowing and they are still crazy at multiples of 5x business. Which from what I’ve learned is really high. Why would you ever buy at the top of the market? Just let it crash and buy in. Otherwise you’ll find your self owning a company you over paid for and now can only sell at a multiple of 2x or less.

Yes. That’s a view many contrarian investors take. Can be a solid strategy. I believe that we make money when we buy, not when we sell. Entry points matter. Great insights man!

@@MakingBillionswithRyanMiller hey that’s the thing about the market. If no one buys at the top you can’t cash out your unrealized gains! Unrealized gains can become unrealized losses! Just ask all the banks that survived 2007-2008!

Dang i’m turning 35 this year, been building my print operation for going on 5 years and i’d say 90% of my net worth is tied up in this thing i’m building. That puts me at 125/130. Not a full-blown stop sign but i’m definitely running in the red. I’m under contract for my second acquisition for growth & im gonna read this guys books. Thanks for the info.

The one thing that resonates with me is Adam emphasising a similar view to warren buffet. Sometimes, things can actually be very simple. If it is simple, then you can understand it. If you understand it, you can succeed.

I believe the safest approach is to diversify your investments. By spreading your funds across different asset classes like bonds, real estate, and international stocks than putting all your in one. If your financial understanding is lacking, see a financial consultant.

Many folks overlook the importance of advisors until their emotions cause them problems. I recall a few summers ago, after my lengthy divorce, I needed support to keep my business going. I searched for licensed advisors and found someone extremely qualified. She helped grow my reserve from $275K to $850K, despite inflation.

35:08 great advice. The hard parts are finding a business owner who is willing to pledge his EBITDA toward the larger parent company vs selling his business in a "cash out" scenario. Youd have to convince him to stick around for 5 years until the parent company sells. The other hard part is getting the loan. It isn't so much "I don't have money" but rather "I don't have money *and* I don't have good enough credit to get a loan". If you habe great credit, then this works.

We have a course on how to raise capital. Lmk if you’re looking to master the art. Without capital, none of this gets moving. With capital, you can have more options than you know what to do with.

​​⁠good question. Some are incentivized to receive cash flow on a bigger pie. They get some now with a greater take home at the end of the deal. So if they want cash now then that could be fine but a strategy here is to see if they’re open to take cash flow over a period of time with interest as well as an equity position in a larger firm giving them a piece of the other firms that come on board after them as well. So the incentive would be more money over time vs less money now.

Go into more detail on the rolling over the equity, do the 30 percent shares get transferred to a new (not ur main) holdco, then u go to the bank and say u wanna borrow 75 ltv on the whole business and here is 30 percent equity for the loan? Do you not meet the problem that 30 percent of the cash flow is gone or owned by the holdco?

Just an opinion here but I’d say investors want to know how viable the company they are about to buy will be in the future. Prove to them that the best (revenue) is yet to come. Other attributes (reasons they buy you) are also strategic positions. Perhaps you produce something they want to achieve an objective. Principle is the same, prove how you align. Nothing too specific for ml as business is all about revenue, expenses, assets, liabilities… and of course…. Cash Flow.

What does Adam think is the bare minimum amount of capital you would need to get into private equity? Obviously you have to get a loan especially if you don’t have millions but how probable is it the bank approved a loan with no money?

Not legal or financial advice. Just an opinion. Always check with professionals before doing or not doing anything from this show. For the LLC, That’s a solid question for your lawyer. They would advise you on the best corporate structure. For credit. Yeah probably. That would help with traditional lenders like banks. There’s also private debt lenders (funds) and government grants to explore.

@@MakingBillionswithRyanMiller so it’s gonna be 30 percent of the new company but the new company only has acquisition of his old company so essentially it’s the same as his okd company so basically he’s only selling 70 percent of his old company I guess but what we go and acquire second company and repeat the process so the new guy rolls over 30 percent equity we will also give him equity in the company we previously acquired aswell ? It’s just a bit confusing

NPV is based on current acquisitions plus future ones. The entire plan. Like all investing, pricing is based on future expectations > current. Your accountant or potentially a financial advisor would be able to help you with the calculations if it’s a bit much. I’m so happy you’re here brother.

I am trying too do some math if anyone can help. Founder A owns 30% of holdco(5m valuation). Founder B also owns 15% of holdco(10m valuation). Founder C owns 10% of15m. Founder D owns 7.5% of 20m. Founder E owns 6% of 25m. Adam owns 31.5% of 25m while he has huge debt on his name. Is this correct understanding?

I love, love, love this equation. Love that you’re really digging in and trying to understand. You’re incredible. I haven’t done the math on your description but relatively speaking yes. There is a declining ownership structure for each new owner that joins newco. However, the valuation of the newco continues to grow so essentially there is a smaller piece issued of a bigger and bigger pie. So while the % seems to shrink, the value of the whole pie grows. Hope that makes sense. Effectively the owner goes from owning a whole grape to half a watermelon. 🍉. Either that or all this talk of grapes, watermelons, and Pie must mean I’m hungry. 😆

Great video! I don't understand the 30% rollover part though. He is saying that he needs that 30% equity to service the debt. But if you just get the 100% debt and buy the company, you get the full equity and thus the full profit of that company which you can now use to pay the interest and service the debt. So why the rollover?

Equity is the down payment to secure the debt. It wouldn’t pay for it. Then with the equity in hand, he gets the loan and the cashflow for the company pays the debt. Think of it like buying a rental apartment. The down payment gets you the loan and then the collected cash (rent) covers the costs. Does that help?

Watched a 2nd time to be sure I wasn’t tripping. So basically he’s saying sweat equity your way into ownership then use the SBA or loans to leverage the cash flow into your next deal. lol good luck with that. The SBA is useless so you had better find some rich friends who’ll help you learn how to do this the right way for free or you’ll be broke in no time. & expect this to be an 8-10yr min process. @42:30 “let’s say I buy 10 companies…” 😂😂😂 who tf with no money is buying ONE company, let alone 10?! Bro I appreciate the effort in doing the interview but here’s some feedback: find guests who are willing to teach finance 101 & maybe we’ll leave with some practical advice to move forward. Unless your audience is accredited investors or family offices, then ignore me & do your thing.

Love this question. You hire a ceo. If I was in this situation, I’d incentivize the current CEO of existing companies to do what’s called an “earn out” where they have to stay on but can earn bonuses for their last few years if they hit milestones. One of them is to groom their successor. Otherwise, they continue to run that company.

No white paper on this; however, what Adam is suggesting is they get paid for their 70% of the original company when the first round of funding goes through and get paid on their 30% when you exit the new company in 5 years (at a substantially larger valuation). Plus the original owner is engaged with their knowledge and energy into newco since they too are an equity holder. Everyone wins.

Thank you. I believe it was mentioned that each new partner that comes on has less and less of a percentage simply because the newco valuation increases after each acquisition. So the first guy took the biggest shot so they get the greatest percentage of newco.

SBA only allows 5 million total loan across businesses. How does this guy get a SBA loan for his 2nd, 3rd...nth business acquisition?

@@MakingBillionswithRyanMiller I think funding the first $5 million with SBA is a good idea, and using conventional banks and or capital from PE limited partners for subsequent acquisitions might work. I'm guessing that's what he did?

@@AKGuerillaThese are examples based on real transactions so I can’t say for sure but yes, working with a traditional PE or debt firm is one way. Banks may be more of a challenge.

Great question! Typically in this type of scenario, you can exit (sell) by taking it public or by selling to a large company or private equity fund.

If seller is keeping 30% equity they will be personally guaranteeing SBA loan - not sure why a seller would be interested in doing so! Most seller I have encountered won’t.

Yeah. Great insight my man. Adam is suggesting that the incentive is to get paid 2x. Once from the acquisition (70% of current value that they are selling today) and a second time of the 30% of newco (which will be valued much, much higher after a few more acquisitions. Is that what you heard?

Let's do the math on Adam's example; buy firm at $5m. 30% equity from seller or $1.5m. Thus, you need a loan = $3.5m. According to Adam, the debt to EBITDA coverage should not be more than 2:1. Adam's example EBITDA = $1m. Thus, we can pay max $500,000 per year. Loan = 10 years at 6% interest rate = $480,000 per year Conclusion: close to impossible IMHO to find a seller who agrees to the 30% AND to find a 10Y loan at 6%.
