I would say Vader is significantly more powerful and deadly than Magneto, but when you are encased in a metal suit and can be popped like a zit, and your opponent is 2nd to none with controlling metal, you are kinda screwed. Both of these guys have an ego problem and gloat, it really boils down to who decides to get serious 1st, Vader has more than enough power to snap Magneto's neck like a twig, his helmet wont protect him from that.
