As in the oposite party will make motion and now you have 24 hours to notice that they made that notion, research that motion, research apropriate precedents that would support your response, then write your response and send it back?

@@iglidor Most convicted defendants are sentenced immediately and without a trial (plea bargained), after around five court appearances totaling less than an hour of any judge's attention. But those five court appearances will still be spread over a couple months.

Or are you talking about cases about violent acts (assault, murder etc.) where there is not absolute crapton of evidence (like multiple camera recordings, witnesses, fingerprints etc.), neither confession from defendant? Because those would suprise me if they were this quick. I can totaly see that if there is absolutely huge ammount of extremely convincing evidence and/or defendant confessed that things may go way quicker.

@@iglidor I'm talking about criminal cases overall. The VAST majority of which are misdemeanors. More serious charges do take longer, and are slightly less likely to be settled by plea agreement, but even >95% of felonies are settled by plea.

@Contact to a certain extent. Say even if it was 10%. That’s not complete misrepresentation. Twitter has reported that 5% of it user are bots since 2013. However Twitter has grown substantially since that year which in reason that number could still be accurate. Also the purpose of Due Diligence is to verify such data. Before any M&A team goes into a PA agreement there is a Data Dump. See what people fail to realize that it is a multi step process. There is often a LOI or IOI put in place before moving to the diligence process. This is non Legally binding however it basically is a document that has offer Price, terms of the agreement, and basically a summery to of the potential PA. So the agreement then starts the Diligence process that is normally around 90 days. In these 90 Days twitter is responsible for releasing any documents Elon may request. Elon asked for all information on there users. It is then his responsibility to Verify such users or data accounts. See the seller is only responsible to give you documentation you request. But here is where Elon is at fault. The Purchase agreement is a legally binding contract. Elon signed it which means he agreed with the terms of it plus agreed all the documents provided were sufficient. Also his lawyers also agreed since it goes to the lawyers first for review or in adjustments that need to be made to it. Elon has not said what the % of bots are which means he doesn’t know. He said 90% which would be completely inaccurate but he is trying to drive the court of public opinion. In my opinion the real reason he is backing out is because the valuation is too high and this will have a larger impact on Tesla. Elon never truly wanted to own twitter. But now he is almost forced to.

When you say you’re using it to pay for another company they’ll be okay with it or even buy more of the stock. Even if it fell through Tesla wouldn’t be hit that hard. Musk gets to pay 1 billion dollar fee and keep the 7 billion dollars.

I was in talks with a lawyer to sue for specific performance when I was trying to buy my house. The seller was dragging their feet; both realtors suspected they were "selling" their house as a ruse to suspend foreclosure proceedings. Lawyers did not, in the end, have to be called in, but my god did those sellers make it an unpleasant experience.

Weird... the sellers for our previous house wanted to go fast. They too was under foreclosure soon, and had an end date. The lake house my parents bought 2 years ago, had contract issues, since the previous buyer didn't technically own the home.. since the previous buyer (before them) had 3 sellers.. one of the sellers died and never signed. The brother of that seller was trying to leave and said, "take it! take it! We're done with the home." But their lawyer kept milking it... taking the money and always putting things on hold.

I think there is a reputational cost to consider, but in some cases, it's minimal. In cases where the suit is so obviously impossible to win, no one would fault them for losing the suit, much like no one would fault the world's best high jumper for not being able to jump over the Empire State Building. It'd be worse for a law firm, reputation-wise, if they consistently lost suits that seemed winable. And of course, the loss of reputation can be made up by a gain in money - some people would be willing to be humiliated for sufficient amounts of money. So I'd think a law firm would be completely fine with raking in cash while losing obviously unwinnable fights.

I think it's the perfect analogy, in so far as *he agreed to buy a termite infested house*. Whether or not the house has *any* termites is far more important than exactly how many. Extending the analogy, Musk is planning to hire an exterminator to kill the termites. So long as the house is still structurally sound, the quantity is immaterial. What, is his bot cleaning algorithm going to get tired and go into retirement after eliminating X accounts? As long as twitter isn't so bot infested that it is in the process of triggering a mass user exodus regardless of whether the bots are summarily removed or not, then twitter getting the number wrong doesn't seem like it would be a big deal. It's financial performance and projections to date already inherently account for the real number of bots on the platform, whether or not the calculated figure is accurate. It's already the reality of their business, not some future problem to materialize post acquisition.

Most matters require more than 1 day of work, hence the delay. He knows that is very unlikely that he be forced to complete the deal. That would really hurt, as the value of Tesla stock fell below the level he planned to use it for collateral. He'll have to stump up a huge (for us at least) chunk of change as compensation, because so far he's not talking like he has any evidence that the number of bots is at a level that is materially adverse. The Twitter Board laid a trap for Elon, and he walked into it eyes wide open. And the choice of Delaware as the jurisdiction makes betting against Musk winning very, very easy I'm afraid.

These explanations are more complicated than necessary. The simplest explanation is that he wanted to buy it and made crazy compromises that gave him little ability to back out so he could get the deal. Then the market crashed, dropping the value of Twitter and his own companies, but leaving him stuck paying the same price.

Also, he waived due diligence! So he said he would buy it without executing any due diligence anyway! It was one of the reasons they agreed to sell to him, he offered more than it was worth at the time, he waived due diligence, and he said he had the financial wherewithal to buy it. The Twitter board was actually doing what was in the best interest of shareholders by agreeing to the sale. Musk was an idiot in what he said he would do in his letter he submitted to Twitter and the SEC, no one forced him to waive due diligence. But once Twitter saw those 3 key things, it was in their best interest to sell.

I wrote a law review article on this. Long paper short, courts screw the poor by saturating them with fees and costs to the point where innocent people plea guilty because it is cheaper than fighting the case. Also significant portions of people actually resort to illegal actions (theft or selling drugs) in order to pay the court it's fees.

Legal fees (in civil court) are enormous if/when the amounts involved are enormous; the vast majority of civil cases that any individual will personally encounter can be taken to small claims court without a lawyer. That said, capitalism generally establishes most things as “not for poor people,” from lawyers to plumbers to grocers.

If he stopped buying at 9.13% of all shares (I did not find if he bought more), it would not be insider trading, as an individual is considered an insider when possessing more than 10% of a company. He was offered to join the board of directors and accepted. That would have made him an insider, but as he backed out before being appointed, technically, he may still not be considered an insider. Market manipulation would definitely be considered in this hypothetical case, however. Which is on brand for him.

Very interesseting to hear that courts in the US mostly just want you to pay damages to get out of the contract and that there is little room for the specific actions. In the continental European system it is very common to obligate a party even through court orders to perform the actions in a contract also in merger contracts. The damages atleast in my own experience are usually the last thing to fall back on.

Or my favorite bit, create a company to sell snake oil ideas to idiots and then runs away with the money. Hyperloop just being a more expensive, more dangerous version of a train, based on an idea thats been universally decided as a bad idea back in the early 1900's. The Vegas loop being an inefficient wheeled taxi underground that still gets into traffic jams despite his claims. The tesla semi being nothing but vaporware. The Tesla robots being dudes in spandex dancing on stage. And that's not to mention his obvious and blantant manipulation of crypto and stock market pricing so he may line his own pockets. The dude does nothing BUT fail upwards because people slob on his knob because "fUtUrE!"

There are just so many things wrong with the whole termite analogy... First of all, "5% termites" is still a hell of a lot of termites. That's literally termites crawling up and down the walls and large parts of the house in some state of collapse. A number extremely close to 0% termites should be your target. Second, I've bought several houses in my life, and in no case did I rely on the buyer to simply tell me how many termites the house had. It's one of those things you have checked BEFORE you agree to buy the house. Finally, if you buy a house "as is", which is what Musk agreed to do with Twitter, you don't get to change your mind later no matter how many termites you find.

You might also have to prove that the seller's assertion of 5% termites was knowingly or maliciously false, to the extent that such a thing is knowable. Without destroying the house and weighing it's components, any number is going to be an estimate at best. Many things that cannot reasonably be known are essentially categorized as "as is" If someone finds out that peanuts are the cause of every brain clot for the past 20 years, we probably still can't sue Planters unless they knew 5 years ago.

I felt from the get go that this was an attempt to either settle at a lower price and go through with the purchase, or to potentially force details come to light about twitter's bot count that benefit his argument, thus resulting in a stock plunge for twitter, and therefore, a much lower asking price he can swoop in on.

Either way, good. I'm not particularly a fan of Musk, but Twitter is a woke-infested hell hole that bans accounts for simply not believing the objectively false modern woke beliefs. It is used as a platform to push pseudo-religious ideology now, not as a platform of free speech, and needs to be eradicated in its current form.

Just want to point out that Musk has never been a genius. His highest level of education is a bachelor degree. The only reason he has high tech companies is because he came from a very rich South African family that helped set him up to own companies and businesses without any actual experience. Eventually he was able to use that money to start Tesla where he hired actual genius level people to work for him. Unfortunately Musk takes credit for all that as head of the company, but he's not actually the brains behind the company, just the face put there because he was born into the 1%

There is something you didn't touch on, though I can't blame you since it is speculative. There is a timeline that I find particularly fascinating: On April 4th, Tesla hit a high value of $1,145 a share. Also on April 4th, he announced he purchased a large amount of shares in the company, and wanted to buy twitter. 3 weeks later, he had a deal in place. In order to get funding, he went to the board to approve selling 8 billion dollars in Tesla shares. He used the potential acquisition of twitter to justify selling his stocks. The board approved the sale. It is worth noting that in 2021 the US government and several states started investigating Tesla cars. There were a series of crashes using the autopilot functionality, some cases of the cars just randomly braking on the highway, and tesla's catching fire, with occupants being forced to flee the car through windows since the doors lock in the case of fire and the release is hidden behind panels located inside the door. Now we fast forward to a few weeks ago, and musky boy now wants to pull out of the deal. But he already sold a bunch of the stocks off. Conveniently, he sold them at about a 1,000 a share. Oddly today, after a bunch of scandals that he would likely have been aware of, the price is around 700 dollars a share. I believe the whole thing may have been a large grift. I think he was looking for a way to sell high before scandals came out. Looking at the timeline, his sudden reversal does make more sense when couched from that angle.

I don't think owning Twitter means he can just do whatever he wants. There's too many regulations for that - and I think that's why he wants out. Maybe, best case, he totally screws it up and runs the company into the ground and we end up in a world with no Twitter and a humbled Musk. Unlikely, but a man can dream!

Twitter should be suing him to pay the fees, not forcing him to buy them. They didn't even want him to do that in the beginning. "Authenticating all humans" can be code for future limiting and invading your right to privacy and anonymity while using the platform.

I remember when the idea was floated that he'd buy Twitter. I was pretty against it since: 1. Communications and media are NOT his strong suit 2. His lofty idealism is ALSO NOT suited for the real world; therefore, trying to transform twitter to comply with that ideal would not go well. I was curious how an Elon-led Twitter would perform. Probably not well but I was (am) curious.
